Los presentes términos y condiciones y los documentos aquí incorporados ("Condiciones") rigen el uso de los servicios y la plataforma SaleCycle, con exclusión de todos los demás términos y, al formalizar el contrato con SaleCycle, usted acepta estas Condiciones. Debe leer estas Condiciones detenidamente y asegurarse de que cualquier persona autorizada o usuario de los servicios conoce estas Condiciones.
SaleCycle podrá modificar estas Condiciones con el paso del tiempo. SaleCycle notificará dichos cambios en su sitio web y en la plataforma y, al continuar utilizando los servicios de SaleCycle, usted acepta dichos cambios. Tenga en cuenta que SaleCycle no tendrá derecho a modificar el contrato, salvo lo dispuesto específicamente en estas Condiciones, o con el acuerdo del cliente según la cláusula 15.10.
SaleCycle podrá ocasionalmente desarrollar o incluir servicios adicionales en su conjunto de productos y, cuando un cliente contrate dicho servicio adicional, si procede, deberá celebrar un nuevo contrato y aceptar las condiciones de servicio específicas relativas a dicho nuevo servicio, que se adjuntarán a las presentes Condiciones o a versiones posteriores de las Condiciones.
En caso de que hayamos traducido estas Condiciones para su comodidad, la versión en inglés prevalecerá en caso de litigio.
La Introducción formará parte de las Condiciones.

En las presentes Condiciones Generales, las siguientes palabras y expresiones tendrán el significado que les corresponde:
1.1 "Persona autorizada" se refiere a una persona autorizada por SaleCycle o el cliente, según corresponda, para tratar con la otra parte en relación con el presente contrato.
1.2 "Incumplimiento del cliente" tiene el significado establecido en la cláusula 5.2 siguiente.
1.3 "Documentación del cliente" hace referencia a todos los textos, imágenes, contenidos, marcas comerciales, nombres de productos, logotipos y cualquier otro material sobre el que el cliente posea los derechos de propiedad intelectual y que el cliente suministre a SaleCycle para su uso en la prestación de los servicios.
1.4 "Información confidencial" significa la información que cualquiera de las partes designe como confidencial o que, dadas las circunstancias que rodean su divulgación, razonablemente debería ser tratada como confidencial, incluyendo, sin limitación, los términos de este contrato, las finanzas y negocios de una parte, asuntos, toda la información comercial, financiera, de marketing, empresarial y técnica, datos (incluyendo todos los datos relativos a clientes y posibles clientes), productos, planes estratégicos de desarrollo y marketing, secretos comerciales, conocimientos, personal y proveedores de la parte divulgadora junto con toda la información directamente derivada de lo anterior.
1.5 "Contenido" significa información, datos, texto, software, música, sonido, fotografías, gráficos, vídeo, mensajes u otros materiales, contenidos en una comunicación de marketing, excluyendo cualquier material del cliente.
1.6 "Contrato" significa el contrato entre SaleCycle y el cliente para el suministro de servicios en conformidad con las Condiciones y el Pedido.
1.7 "Fecha efectiva" se refiere a la fecha en la que el Pedido es aceptado por SaleCycle.
1.8 "Honorarios" se refiere a las tarifas pagaderas por el cliente a SaleCycle en relación con los servicios, tal y como se establece en el Pedido (incluidas las tarifas de instalación y cualquier otra tarifa adicional establecida en el Pedido).
1.9 "Normas del sector" se refiere a las normas que razonablemente se esperan de un proveedor cualificado del tipo de servicios prestados por SaleCycle.
1.10 "Plazo inicial" se refiere al periodo establecido en el Pedido que comienza cuando se lanza la campaña SaleCycle.
1.11 "Derechos de Propiedad Intelectual" significa todos los derechos e intereses de propiedad intelectual, incluyendo, sin limitación, todas y cada una de las patentes, modelos de utilidad, derechos sobre invenciones, derechos de autor y derechos conexos y afines, derechos morales, marcas comerciales y marcas de servicio, nombres comerciales y nombres de dominio, derechos de imagen e imagen comercial, fondo de comercio y el derecho a demandar por usurpación de marca o competencia desleal, derechos sobre diseños, derechos sobre programas informáticos, derechos sobre bases de datos, derechos de uso y protección de la confidencialidad de, información confidencial (incluidos los conocimientos técnicos y los secretos comerciales), y todos los demás derechos de propiedad intelectual, en cada caso registrados o no registrados, incluidas todas las solicitudes y derechos de solicitud y concesión, renovaciones o prórrogas, y los derechos de reivindicación de prioridad de tales derechos y todos los derechos o formas de protección similares o equivalentes que subsistan, actualmente o en el futuro, en cualquier parte del mundo.
1.12 "Ley" hace referencia a todas las leyes, legislación y normativas (con sus posibles modificaciones), en todas las jurisdicciones en las que opera el cliente, relativas a la prestación y recepción de los servicios, incluidas, entre otras, las normas relativas al tratamiento de datos personales o información de identificación personal y al contenido y envío de comunicaciones de marketing en o desde dichas jurisdicciones.
1.13 "Comunicación de marketing" significa una comunicación enviada a un visitante como resultado de los servicios.
1.14 "Pedido" se refiere al formulario de pedido de SaleCycle para los servicios, tal y como ha sido cumplimentado y firmado por el cliente.
1.15 "Parte" se refiere a SaleCycle o al cliente, según requiera el contrato.
1.16 "Venta de SaleCycle" se refiere a una venta realizada por el cliente a un visitante que se atribuye a los servicios de SaleCycle de acuerdo con el modelo de atribución.
1.17 "Servicios" se refiere a los servicios que se prestarán en virtud del contrato, tal y como se detallan en el Pedido.
1.18 "Periodo de vigencia" significa el periodo durante el cual el contrato está en vigor según lo previsto en el Pedido y de conformidad con la cláusula 14.
1.19 "Visitante" se refiere a un usuario en el sitio web.
1.20 "Sitio web" hace referencia al sitio o sitios web transaccionales del cliente en relación con los cuales se prestan los servicios.
2.1 Todas las referencias a las cláusulas y subcláusulas son a las cláusulas y subcláusulas de estas condiciones.
2.2 En caso de contradicción entre estas condiciones y los términos contenidos en cualquier anexo a estas condiciones, estas condiciones se aplicarán al conjunt, incluida la contradicción, excepto cuando las disposiciones del anexo correspondiente establezcan explícitamente lo contrario.
2.3 En caso de conflicto o ambigüedad entre los términos del Pedido y las condiciones, un término contenido en el Pedido tendrá prioridad sobre uno contenido en las condiciones.
3.1 En lo relativo al pago de los honorarios por parte del cliente, y de acuerdo con los Términos y Condiciones del presente contrato, durante el plazo indicado, SaleCycle prestará al cliente los servicios de conformidad con el contrato.
3.2 El Pedido constituye una oferta por parte del cliente para adquirir servicios de conformidad con las presentes condiciones y será válido durante un periodo de 40 días a partir de la fecha del Pedido, a menos que se prorrogue a discreción de SaleCycle.
3.3 El Pedido sólo se considerará aceptado cuando SaleCycle emita la aceptación por escrito del Pedido, momento y fecha en que entrará en vigor el contrato.
3.4 Todas las muestras, dibujos, material descriptivo o publicidad emitidos por SaleCycle, y todas las descripciones o ilustraciones contenidas en los catálogos o folletos de SaleCycle, se publican con el fin de dar una idea aproximada de los servicios descritos en los mismos. No formarán parte del contrato ni de ninguna fuerza contractual.
3.5 El presente contrato se aplicará al contrato con exclusión de cualesquiera otras condiciones que el cliente intente imponer o incorporar, o que estén implícitas en el comercio, la costumbre, la práctica o el curso de los negocios.
3.6 La adición de nuevos servicios o la alteración de los servicios en curso se realizará mediante la ejecución de un anexo por escrito firmado entre las partes y, salvo acuerdo en contrario, cuando el cliente incluya nuevos servicios, el plazo inicial especificado en el Pedido se reiniciará a partir de la fecha de puesta en marcha del nuevo servicio.
3.7 Para utilizar los servicios, SaleCycle proporcionará una licencia y, en su caso, credenciales de inicio de sesión para utilizar la plataforma y los servicios de conformidad con las presentes condiciones. El cliente deberá garantizar el acceso a internet y a los navegadores pertinentes para acceder a la plataforma y a los servicios.
3.8 SaleCycle puede proporcionar nombres de usuario y contraseñas de la plataforma como parte de los servicios y el cliente acepta que toda la actividad de la plataforma, que puede ser rastreada hasta los nombres de usuario y contraseñas del cliente, se considera realizada por el cliente y no es responsabilidad de SaleCycle.
4.1 SaleCycle prestará los servicios al cliente de conformidad con el Pedido en todos los aspectos materiales.
4.2 SaleCycle hará todo lo razonablemente posible para cumplir las fechas de ejecución especificadas en el Pedido, pero dichas fechas serán únicamente estimativas y el tiempo no será esencial para la ejecución de los servicios.
4.3 SaleCycle se reserva el derecho a modificar el Pedido si es necesario para cumplir cualquier ley o requisito normativo aplicable, o si la modificación no afectara materialmente a la naturaleza o calidad de los servicios y SaleCycle notificará al cliente en tal caso.
4.4 SaleCycle garantiza al cliente que los servicios se prestarán con la diligencia y destreza razonables.
5.1 El Cliente deberá:
5.1.1 desplegar la etiqueta SaleCycle en todas sus páginas web de producción requeridas y mantener la etiqueta SaleCycle desplegada durante el periodo de vigencia.;
5.1.2 proporcionar a SaleCycle las plantillas, diseños y la documentación del cliente pertinentes necesario para prestar los servicios. Si el cliente tiene directrices de marca u otras restricciones sobre el uso de la documentación del cliente, deberá notificarlas inmediatamente a SaleCycle antes o en el momento de proporcionar la documentación del cliente;
5.1.3 garantizar que los términos del Pedido sean completos y precisos;
5.1.4 cooperar con SaleCycle en todos los asuntos relacionados con los servicios y garantizar que la información proporcionada a SaleCycle sea completa y precisa;
5 .1.5 obtener y mantener todas las licencias, permisos y consentimientos necesarios que puedan requerirse para los servicios antes de la fecha de inicio de los servicios;
5.1.6 no copiar, modificar, adaptar, descodificar, realizar ingeniería inversa, descompilar o deconstruir de cualquier otro modo los servicios, la plataforma y el contenido, ni intentar eludir o interferir con las funciones de seguridad de SaleCycle, salvo en los casos permitidos en el presente acuerdo.
5.1.7 cumplir todas las leyes aplicables; y
5.1.8 cumplir con las obligaciones adicionales establecidas en el Pedido.
5.2 Si el rendimiento de los servicios de SaleCycle en virtud del contrato se ve impedido o retrasado por cualquier acto u omisión del cliente o por el incumplimiento por parte del cliente de cualquier obligación pertinente (Incumplimiento del cliente)
5.2.1 sin limitar ni afectar a ningún otro derecho o recurso a su disposición, SaleCycle tendrá derecho a suspender la prestación de los servicios hasta que el cliente subsane el incumplimiento, y a basarse en el incumplimiento para eximirle del desempeño de cualquiera de sus obligaciones en la medida en que el incumplimiento impida o retrase el desempeño por parte de SaleCycle de cualquiera de sus obligaciones;
5.2.2 SaleCycle no será responsable de los costes o pérdidas sufridos o incurridos por el cliente que se deriven directa o indirectamente del incumplimiento o retraso de SaleCycle en el desempeño de cualquiera de sus obligaciones establecidas en la presente cláusula 5.2; y
5.2.3 SaleCycle no será responsable de los costes sufridos y pérdidas incurridas por el cliente y derivados directa o indirectamente del retraso o incumplimiento por parte de SaleCycle de sus obligaciones, de acuerdo con lo dispuesto en esta cláusula 5.2; y 5.2.3 El cliente deberá reembolsar a SaleCycle, a requerimiento escrito de éste, cualquier coste sufrido o pérdida en que haya incurrido y que haya derivado, directa o indirectamente, del Incumplimiento del cliente (nada de lo establecido en esta cláusula limitará los derechos de SaleCycle incluidos en las cláusulas 6.12 a 6.15).
5.3 El cliente se compromete a que, en caso de que resuelva el contrato o sea imposible la prestación de los servicios SaleCycle, antes de que finalice el plazo inicial (o cada plazo subsiguiente), excluyendo la resolución por incumplimiento material del contrato por parte de SaleCycle, abonará los honorarios de forma prorrateada por el resto del plazo inicial (o cada plazo subsiguiente) y, cuando los cargos varíen mensualmente, los honorarios restantes se calcularán sobre la base de una comisión por adquisición basada en la media de la actividad de ventas de SaleCycle registrada en la página web durante los tres meses naturales inmediatamente anteriores al plazo de inactividad o la estimación razonablemente aplicada en ausencia de 3 meses completos de honorarios.
6.1 Una vez finalizado cada mes natural, SaleCycle enviará por correo electrónico al cliente una factura por los honorarios adeudados en virtud del contrato correspondientes al mes anterior.
6.2 A petición del cliente, SaleCycle emitirá un informe que justifique el cálculo de la factura.
6.3 SaleCycle se reserva el derecho de aumentar los honorarios anualmente con efecto a partir de cada aniversario de la fecha de entrada en vigor.
6.4 A menos que el cliente notifique a SaleCycle por escrito en un plazo de catorce (14) días a partir de la recepción de una factura que impugna un importe facturado, se considerará que el cliente ha aceptado la factura.
6.5 Si el cliente impugna la factura, deberá proporcionar detalles razonables en su notificación de disputa y las partes colaborarán de buena fe para resolver la disputa y el cliente pagará cualquier cantidad no disputada de conformidad con esta cláusula
6.6 Si SaleCycle retrasa la entrega de una factura por cualquier motivo, esto no invalidará la factura y las sumas seguirán siendo pagaderas en un plazo de 30 días a partir de la recepción de la factura.
6.7 Todos los honorarios y otros cargos, y gastos adeudados por el cliente a SaleCycle en virtud del presente contrato deberán ser abonados por el cliente en un plazo de treinta (30) días a partir de la fecha de la factura de SaleCycle, salvo que se especifique lo contrario en el Pedido, y deberán ser abonados por el cliente en su totalidad y en fondos compensados a una cuenta bancaria designada por escrito por SaleCycle.
6.8 Todas las cantidades adeudadas en virtud del contrato se pagarán en su totalidad sin ninguna compensación, reconvención, deducción o retención (salvo cualquier deducción o retención de impuestos exigida por la ley).
6.9 El plazo para el pago de los honorarios forma parte esencial del contrato.
6.10 Sin limitar cualquier otro derecho o recurso de SaleCycle en virtud del contrato, si el cliente no realiza cualquier pago debido a SaleCycle en virtud del contrato, SaleCycle tendrá derecho a:
6.10.1 cobrar intereses sobre el importe vencido devengados diariamente al tipo del cuatro por ciento (4%) anual por encima del tipo base vigente en ese momento del Royal Bank of Scotland Plc. desde la fecha de vencimiento del pago hasta que se reciba el pago íntegro; y
6.10.2 Suspender de inmediato y sin previo aviso el acceso del cliente a los servicios hasta que se liquide íntegramente la factura de Honorarios correspondiente. Dicho periodo de suspensión se añadirá al resto del plazo (a discreción de SaleCycle).
6.11 Los honorarios no incluyen el IVA o cualquier otro impuesto equivalente aplicable en cada momento. En caso de que SaleCycle realice al cliente una prestación imponible a efectos del IVA o de cualquier otro impuesto equivalente en virtud del contrato, el cliente, tras la recepción de una factura válida de SaleCycle relativa al IVA (o impuesto equivalente), abonará a SaleCycle los importes adicionales en concepto de IVA (o impuesto equivalente) que sean exigibles por la prestación de los Servicios al mismo tiempo que se adeude el pago por la prestación de los Servicios
6.12 Si, por causas ajenas a SaleCycle, el envío de comunicaciones de marketing se detiene o se restringe, por cualquier motivo, en cualquier momento durante el periodo de vigencia ("periodo de inactividad"), SaleCycle facturará, y el cliente pagará a SaleCycle, las comisiones por la duración del periodo de inactividad, calculadas sobre la base de una comisión por adquisición basada en la actividad media de ventas de SaleCycle registrada en el sitio web durante los tres meses naturales inmediatamente anteriores al periodo de inactividad.
7.1 El Cliente reconoce y acepta que todos los Derechos de Propiedad Intelectual existentes en, derivados de o en relación con la marca SaleCycle, los servicios, la plataforma y el contenido, incluyendo sin limitación la etiqueta, todos los medios de comunicación y los sistemas asociados a ella, serán propiedad de, y seguirán siendo propiedad de SaleCycle (aparte de los Derechos de Propiedad Intelectual en cualquier material proporcionado por el cliente).
7.2 Por la presente, SaleCycle concede al cliente una licencia totalmente pagada, limitada, intransferible, no sublicenciable, no exclusiva y libre de regalías durante la vigencia para utilizar la plataforma y el contenido en relación con los servicios.
7.3 Por la presente, el cliente concede a SaleCycle una licencia totalmente pagada, no exclusiva, libre de regalías e intransferible para copiar y modificar cualquier material del cliente durante el periodo de vigencia con el fin de prestar los servicios al cliente.
7.4 SaleCycle garantiza que la recepción y el uso de los servicios por parte del cliente no infringirán los Derechos de Propiedad Intelectual de terceros.
7.5 SaleCycle indemnizará íntegramente al cliente por todas las responsabilidades, costes, gastos, daños y pérdidas (incluidos, entre otros, cualquier pérdida directa, indirecta o consecuente, lucro cesante, pérdida de reputación y todos los intereses, sanciones y costes legales (calculados sobre la base de una indemnización completa) y todos los demás costes y gastos profesionales razonables) sufridos o incurridos por el cliente derivados de o en relación con cualquier reclamación presentada contra el cliente por infracción real o supuesta de los Derechos de Propiedad Intelectual de un tercero, en la medida en que la infracción o supuesta infracción resulte de la copia, derivada de o en relación con la recepción, uso o suministro de los servicios.
7.6 SaleCycle no incumplirá la garantía de la cláusula 7.4 y el cliente no podrá reclamar la indemnización de la cláusula 7.5 en la medida en que la infracción se derive de:
7.6.1 el uso de la documentación del cliente por parte de SaleCycle en la prestación de los servicios;
7.6.2 Cualquier modificación de los servicios, que no sea por o en nombre de SaleCycle o en incumplimiento de la cláusula 5.16; y
7.6.3 cumplimiento de las especificaciones o instrucciones del cliente.
7.7 El cliente:
7.7.1 garantiza que la recepción y el uso de la documentación del cliente en la ejecución del contrato por parte de SaleCycle, sus agentes, subcontratistas o consultores no infringirán los derechos, incluidos los Derechos de Propiedad Intelectual, de ningún tercero; y
7.7.2 indemnizará íntegramente a SaleCycle por todas las responsabilidades, costes, gastos, daños y pérdidas (incluidos, entre otros, cualesquiera pérdidas directas, indirectas o consecuentes, lucro cesante, pérdida de reputación y todos los intereses, sanciones y costes legales (calculados sobre la base de una indemnización completa) y todos los demás costes y gastos profesionales razonables) sufridos o incurridos por SaleCycle derivados de o en relación con cualquier reclamación presentada contra SaleCycle, sus agentes, subcontratistas o consultores por infracción real o supuesta de los Derechos de Propiedad Intelectual de un tercero derivada de, o en relación con, la recepción o el uso en la ejecución del presente contrato de la documentación del cliente.
7.8 El cliente acepta que SaleCycle pueda utilizar la documentación del cliente (excluidos los Datos Protegidos) dentro de los propios materiales de marketing de Salecycle, incluidos, entre otros, publicaciones externas de marketing, libros electrónicos y blogs y en los sitios web de SaleCycle para la promoción de los servicios de SaleCycle. SaleCycle utilizará la documentación del cliente de forma responsable y profesional a efectos de su propio marketing. En caso de que el cliente no esté de acuerdo con este uso, deberá notificarlo a SaleCycle inmediatamente por escrito.
7.9 El cliente acepta que, a petición razonable de SaleCycle, proporcionará a SaleCycle un testimonio o estudio de caso relacionado con los servicios y que dicho estudio de caso deberá ser aprobado por el cliente antes de su publicación, sin que dicha aprobación pueda ser denegada o retrasada de forma injustificada.
8.1 Cualquier referencia en las presentes condiciones a la aprobación del cliente se referirá a la aprobación por escrito emitida por correo electrónico y que una persona autorizada del cliente enviará a una persona autorizada de SaleCycle.
8.2 SaleCycle deberá obtener la aprobación del cliente para todos los modelos de comunicación que forman una comunicación de marketing antes de que estén disponibles en los Servicios.
9.1 Cada una de las partes mantendrá en secreto toda la información confidencial obtenida de la otra en virtud del presente contrato y no utilizará dicha información confidencial salvo en la medida necesaria para cumplir sus obligaciones o disfrutar de sus derechos en virtud del presente contrato.
9.2 Ninguna de las partes revelará a terceros sin el permiso expreso por escrito de la otra parte ninguna información confidencial obtenida de la otra parte.
9.3 Cada parte podrá revelar la información confidencial de la otra parte a sus empleados, directivos, representantes, subcontratistas o asesores que necesiten conocer dicha información a efectos del cumplimiento de las obligaciones de la parte en virtud del contrato. Cada parte se asegurará de que sus empleados, directivos, representantes, subcontratistas o asesores a los que revele la información confidencial de la otra Parte cumplan lo dispuesto en la presente cláusula 9.
9.4 Las disposiciones de las cláusulas 9.1 y 9.2 no se aplicarán a ninguna información que:
9.4.1 sea o pase a ser de dominio público, salvo por incumplimiento de la presente cláusula 9;
9.4.2 esté en posesión de la Parte receptora sin restricciones antes de la fecha de recepción de la Parte reveladora; o
9.4.3 sea recibida por la Parte receptora de un tercero que la haya adquirido o desarrollado legalmente y que no esté obligado a restringir su divulgación.
9.5 Las disposiciones de la cláusula 9.2 no se aplicarán a ninguna información que por ley deba ser revelada por la parte receptora siempre y cuando la parte receptora lo notifique con prontitud a la parte reveladora y cumpla con cualquier orden de protección impuesta sobre dicha revelación.
9.6 A petición de la parte divulgadora, la parte receptora devolverá o (en la medida de lo posible) destruirá de forma segura toda la información confidencial de la otra parte que esté reducida a escritura, dibujo(s), esquema(s) o cualquier otra forma de documentación, ya sea en formato impreso o legible por máquina, o destruirá o borrará todo ese material y certificará la destrucción a la parte divulgadora.
10.1 Nada de lo dispuesto en el contrato excluirá o limitará la responsabilidad de cualquiera de las partes que no pueda limitarse legalmente, incluida la responsabilidad por:
10.1.1 la muerte o los daños personales ocasionados por negligencia;
10.1.2 fraude o interpretación errónea fraudulenta.
10.2 Sujetas a las cláusulas 10.1 y 5.3, ninguna de las partes será responsable ante la otra, ya sea por contrato o por responsabilidad extracontractual (incluida la negligencia, la obligación legal, cualquiera que sea su origen) interpretación errónea (ya sea inocente o negligente) restricción o de otro modo, por:
10.2.1 pérdida de ganancias (ya sea directa o indirecta);
10.2.2 pérdida de actividad comercial (ya sea directa o indirecta);
10.2.3 pérdida de ventas u oportunidades comerciales (ya sea directa o indirecta);
10.2.4 pérdida de acuerdos o contratos (ya sea directa o indirecta);
10.2.5 pérdida del uso o corrupción de software, datos o información (ya sea directa o indirecta)
10.2.6 pérdida de ingresos (ya sea directa o indirecta);
10.2.7 pérdida de facturación (ya sea directa o indirecta);
10.2.8 pérdida o daño del fondo de comercio (ya sea directo o indirecto)
10.2.9 pérdida de gastos inútiles (ya sea directa o indirecta);
10.2.10 pérdida de bienes (ya sea directa o indirecta);
10.2.11 pérdida de ahorros previstos (ya sea directa o indirecta); o
10.2.12 cualquier pérdida especial, indirecta, consecuente o puramente económica, costes, daños, cargos o gastos (ya sean directos o indirectos).
These terms and conditions and documents incorporated herein (“Conditions”) govern the use of the SaleCycle Services and Platform to the exclusion of all other terms and by entering into the Order with SaleCycle you agree to these Conditions. You should read this Conditions carefully and ensure any Authorised Person or user of the Services is aware of these Conditions.
SaleCycle may amend these Conditions from time to time. SaleCycle will provide notice of such change on their website and Platform and by continuing to use the SaleCycle services you agree to such changes. Please note, SaleCycle shall not be entitled to vary the Order, except for as specifically provided within these Conditions, or with the agreement of the Client as per clause 15.10.
SaleCycle may from time to time develop or include additional services to their product suite and where a Client procures such additional service, if applicable, they shall enter into a new Contract and agree to specific service terms relating to that new service which will be annexed to these Conditions or subsequent versions of the Conditions.
Where we translated these Conditions for your ease, the English version shall prevail in the event of any dispute.
The Introduction shall constitute part of the Conditions.

In these Terms and Conditions, the owing words and expressions shall the owing meanings:
1.1 "Authorised Person" means a person who is authorised by SaleCycle or the Client, as appropriate, to deal with the other Party in relation to this Contract.
1.2 "Client Default" has the meaning set out in clause 5.2 below.
1.3 "Client Materials" means all text, images, content, trade marks, product names, logos and any other materials in which the Client owns the Intellectual Property Rights and which the Client supplies to SaleCycle for use in the performance of the Services.
1.4 "Confidential Information" means information that either Party designates as confidential or which under the circumstances surrounding disclosure, reasonably ought to be treated as confidential, including without limitation the terms of this Contract, a Party's finances and business, affairs, all commercial, financial, marketing, business and technical information, data (including all data relating to customers and prospective customers), products, strategic development and marketing plans, trade secrets, know-how, personnel and suppliers of the disclosing Party together with all information directly derived from the foregoing.
1.5 "Content" means information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, contained within a Marketing Communication, excluding any Client Materials.
1.6 "Contract" means the contract between SaleCycle and the Client for the supply of Services in accordance with the Conditions and the Order.
1.7 "Effective Date" means the date on which the Order is accepted by SaleCycle.
1.8 "Fees" means the fees payable from the Client to SaleCycle in respect of the Services as further set out in the Order (including Setup Fees and any other incidental fees stated within the Order).
1.9 "Good Industry Standards" means the standards reasonably expected of a skilled supplier of the type of Services provided by SaleCycle.
1.10 "Initial Term" means the period as stated in the Order which commences when the SaleCycle campaign is launched.
1.11 "Intellectual Property Rights" means all intellectual property rights and interests including, without limitation, any and all patents, utility models, rights to inventions, copyright and neighbouring and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
1.12 "Law" means all laws, legislation and regulations (as they may be amended), in all jurisdictions in which the Client operates, relating to the provision and receipt of the Services including, but not limited to, rules relating to Processing of Personal Data or personally identifiable information and the content and sending of Marketing Communications in or from those jurisdictions.
1.13 "Marketing Communication"means a communication sent to a Visitor as a result of the Services;
1.14 "Order" means SaleCycle’s order form for the Services as filled out and signed by the Client.
1.15 "Party" means SaleCycle or the Client as the Contract may require.
1.16 "SaleCycle Sale" means a sale by the Client to a Visitor which is attributed to SaleCycle's Services in accordance with the Attribution Model.
1.17 "Services" means the services to be provided under the Contract as further set out in the Order
1.18 "Term" means the period during which the Contract is in force as provided in the Order and pursuant to clause 14.
1.19 "Visitor" means a visitor to the Website.
1.20 "Website" means the Client's transactional website(s) in relation to which the Services are provided.
2.1 All references to Clauses and Sub-Clauses are to Clauses and Sub-Clauses in these Conditions.
2.2 In the event of any inconsistency between these Conditions and the terms contained in any Schedule or Annexure to these Conditions, these Conditions shall apply to the extent of the inconsistency except where the provisions of the relevant Schedule explicitly state otherwise.
2.3 If there is any conflict or ambiguity between the terms of the Order and the Conditions, a term contained in the Order shall priority over one contained in the Conditions.
3.1 In consideration of payment of the Fees by the Client, and subject to the terms and conditions of the Contract, SaleCycle will provide to the Client during the Term the Services in accordance with the Contract.
3.2 The Order constitutes an offer by the Client to purchase Services in accordance with these Conditions and shall remain valid for a period of 40 days from the date of the Order, unless extended at the discretion of SaleCycle.
3.3 The Order shall only be deemed to be accepted when SaleCycle issues written acceptance of the Order at which point and on which date the Contract shall come into existence.
3.4 Any samples, drawings, descriptive matter or advertising issued by SaleCycle, and any descriptions or illustrations contained in SaleCycle’s catalogues or brochures, are issued or published for the purpose of giving an approximate idea of the Services described in them. They shall not form part of the Contract or any contractual force.
3.5 This Contract shall apply to the Contract to the exclusion of any other terms that the Client seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
3.6 The addition of new Services or alteration of ongoing Services shall be achieved by executing a new written letter of variation signed between the Parties and unless otherwise agreed, where the Client is including new Services, the Initial Term specified in the Order shall restart from the Go Live Date of the new Service.
3.7 In order to utilise the Services, SaleCycle shall provide a licence and where applicable login credentials to use the Platform and Services in accordance with these Conditions. The Client needs to ensure access to the internet and relevant browsers to access the Platform and Services.
3.8 SaleCycle may provide Platform usernames and passwords as part of the Services and the Client agrees that all Platform activity, which can be traced to Client usernames and passwords, are deemed to been performed by the Client and are not the responsibility of SaleCycle.
4.1 SaleCycle shall supply the Services to the Client in accordance with the Order in all material respects.
4.2 SaleCycle shall use all reasonable endeavours to meet any performance dates specified in the Order, but any such dates shall be estimates only and time shall not be of the essence for performance of the Services.
4.3 SaleCycle reserves the right to amend the Order if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services, and SaleCycle shall notify the Client in any such event.
4.4 SaleCycle warrants to the Client that the Services will be provided using reasonable care and skill.
5.1 The Client Shall:
5.1.1 deploy the SaleCycle tag to all of its required production website pages and keep the SaleCycle tag deployed for the duration of the Term;
5.1.2 provide SaleCycle with the relevant templates, designs and Client Materials it requires in order to provide the Services. If the Client has brand guidelines or other restrictions on the use of its Client Materials it shall notify them promptly to SaleCycle in advance of or at the time of provision of the Client Materials;
5.1.3 ensure that the terms of the Order are complete and accurate;
5.1.4 co-operate with SaleCycle in all matters relating to the Services and ensure information provided to SaleCycle is complete and accurate.
5.1.5 obtain and maintain all necessary licenses, permissions and consents which may be required for the Services before the date on which the Services are to start;
5.1.6 not, except as permitted under this Agreement, copy, modify, adapt, decode, reverse engineer, decompile or otherwise deconstruct or cause infringement of, the Services, Platform and Content, or attempt to circumvent or interfere with any SaleCycle security features.
5.1.7 comply with all applicable laws; and
5.1.8 comply with any additional obligations as set out in the Order.
5.2 If SaleCycle’s performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation (Client Default)
5.2.1 without limiting or affecting any other right or remedy available to it, SaleCycle shall the right to suspend performance of the Services until the Client remedies the Client Default, and to rely on the Client Default to relieve it from the performance of any of its obligations in each case to the extent the Client Default prevents or delays SaleCycle’s performance of any of its obligations;
5.3 SaleCycle shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from SaleCycle’s failure or delay to perform any of its obligations as set out in this clause 5.2; and
5.3.1 the Client shall reimburse SaleCycle on written demand for any costs or losses sustained or incurred by SaleCycle arising directly or indirectly from the Client Default (nothing in this clause is intended to limit SaleCycle’s rights under clauses 6.12 to 6.15).
5.4 The Client agrees that should they terminate the Contract or prevent delivery of the SaleCycle Services, prior to the end of the Initial Term (or each Subsequent Term), excluding termination for SaleCycle’s material breach of the Contract, they shall pay the Fees pro-rata for the remainder of the Initial Term (or each Subsequent Term) and where charges are variable on a Monthly Basis then the remaining Fees shall calculated on a commission per acquisition basis based upon the average SaleCycle Sales activity recorded on the Website over the three calendar months immediately preceding the Downtime or such reasonably applied Forecast in the absence of 3 full months Fees.
6.1 After the end of each calendar month SaleCycle will deliver by email to the Client an invoice for the Fees due under the Contract for the preceding month.
6.2 At the request of the Client, SaleCycle will issue a report supporting the calculation of the invoice.
6.3 SaleCycle reserves the right to increase the Fees on an annual basis with effect from each anniversary of the Effective Date.
6.4 Unless the Client notifies SaleCycle in writing within fourteen (14) days owing receipt of an invoice that it disputes an invoiced amount, the Client shall be deemed to accepted the invoice.
6.5 If the Client disputes the invoice it shall provide reasonable detail in its notice of dispute and the Parties shall work together in good faith to ree the dispute and the Client shall pay any undisputed amount in accordance with this clause 6.
6.6 Should SaleCycle delay the delivery of an invoice for any reason, it shall not invalidate the invoice and sums shall remain payable within 30 days of receipt of the invoice.
6.7 All Fees and any other charges, costs and expenses owed by the Client to SaleCycle under this Contract are due for payment by the Client within thirty (30) days owing the date of SaleCycle’s invoice, unless otherwise specified in the Order, and shall be paid by the Client in full and in cleared funds to a bank account nominated in writing by SaleCycle.
6.8 All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction or withing (other than any deduction or withing of tax as required by law).
6.9 Time for payment of the Fees shall be of the essence of the Contract.
6.10 Without limiting any other right or remedy of SaleCycle under the Contract, if the Client fails to make any payment due to SaleCycle under the Contract, SaleCycle shall the right to:
6.10.1 charge interest on the overdue amount accruing on a daily basis at the rate of four percent (4%) per annum above the then current base rate of Royal Bank of Scotland Plc. From the due date for payment until payment is received in full; and
6.10.2 Suspend forthwith and without notice the Client’s access to the Services until the relevant Fee invoice is settled in full. Any such suspension period shall be added to the remainder of the Term (at SaleCycle’s discretion).
6.11 The Fees are exclusive of VAT or any equivalent tax chargeable from time to time. Where any taxable supply for the purposes of VAT or any equivalent tax is made under the Contract by SaleCycle to the Client, the Client shall, on receipt of a valid VAT (or equivalent tax) invoice from SaleCycle, pay SaleCycle such additional amounts in respect of VAT (or equivalent tax) as are chargeable on the supply of the Services at the same time as payment is due for the supply of the Services.
6.12 If, due to no fault of SaleCycle, the sending of Marketing Communications stops or is restricted, for any reason, at any time during the Term (“Downtime”), SaleCycle will invoice and the Client shall pay to SaleCycle, Fees for the duration of the Downtime calculated on a commission per acquisition basis based upon the average SaleCycle Sales activity recorded on the Website over the three calendar months immediately preceding the Downtime.
7.1 The Client acknowledges and agrees that all the Intellectual Property Rights existing in, arising out of or in connection with the SaleCycle brand, the Services, the Platform and the Content including without limitation the tag, all communication media and systems associated with it, shall be owned by, vest in and remain the abte property of SaleCycle (other than Intellectual Property Rights in any materials provided by the Client).
7.2 SaleCycle hereby grants the Client a fully paid up, limited, non-transferrable, non-sub-licensable, non-exclusive, royalty-free licence during the Term to use the Platform and the Content in connection with the Services.
7.3 The Client hereby grants SaleCycle a fully paid-up, non-exclusive, royalty free, non-transferable licence to copy and modify any Client Materials for the Term for the purpose of providing the Services to the Client.
7.4 SaleCycle warrants that the receipt and use of the Services by the Client shall not infringe the Intellectual Property Rights of any third party.
7.5 SaleCycle shall indemnify the Client in full against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by the Client arising out of or in connection with any claim brought against the Client for actual or alleged infringement of a third party’s Intellectual Property Rights, to the extent that the infringement or alleged infringement results from copying, arising out of, or in connection with, the receipt, use or supply of the Services.
7.6 SaleCycle shall not be in breach of the warranty at clause 7.4 and the Client shall no claim under the indemnity at clause 7.5 to the extent the infringement arises from:
7.6.1 the use of Client Materials by SaleCycle in providing the Services;
7.6.2 Any modification of the Services, other than by or on behalf of SaleCycle or in breach of clause 5.16; and
7.6.3 compliance with the Client’s specifications or instructions.
7.7 The Client:
7.7.1 warrants that the receipt and use of the Customer Materials in the performance of the Contract by SaleCycle, its agents, subcontractors or consultants shall not infringe the rights, including any Intellectual Property Rights, of any third party; and
7.7.2 shall indemnify SaleCycle in full against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by SaleCycle arising out of or in connection with any claim brought against SaleCycle, its agents, subcontractors or consultants for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the receipt or use in the performance of this Contract of the Customer Materials.
7.8 The Client agrees SaleCycle may use the Client Materials (excluding Protected Data) within Salecycle’s own marketing materials, including but not limited to external marketing publications, ebooks and blogs and on the SaleCycle websites for the promotion of SaleCycle’s services. SaleCycle shall use Client materials responsibly and professionally for the purposes of their own marketing. Should the Client not agree to this use then they should notify SaleCycle promptly in writing.
7.9 The Client agrees that upon the reasonable request of SaleCycle they shall provide SaleCycle with a testimonial or case study relating to the Services and such case study shall be approved by the Client prior to publication, such approval not to be unreasonably withheld or delayed.
8.1 Any reference in these Conditions to the Client's Approval shall mean written approval signified by email and sent by an Authorised Person at the Client to an Authorised Person at SaleCycle.
8.2 SaleCycle shall obtain the Client's Approval to all communication templates that form a Marketing Communication before they are live on the Services.
9.1 Each Party shall hold in confidence all Confidential Information obtained from the other pursuant to this Contract and shall not use that Confidential Information save as is necessary to perform its obligations or enjoy its rights under this Contract.
9.2 Neither Party shall disclose to any third Party without the express written permission of the other Party any Confidential Information obtained from the other Party.
9.3 Each Party may disclose the other Party’s Confidential Information to its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the Party's obligations under the Contract. Each Party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party's confidential information comply with this clause 9.
9.4 The provisions of clauses 9.1 and 9.2 shall not apply to any information which:
9.4.1 is or becomes public knowledge other than by breach of this clause 9;
9.4.2 is in the possession of the receiving Party without restriction before the date of receipt from the disclosing Party; or
9.4.3 is received by the receiving Party from a third Party who lawfully acquired or developed it and who is under no obligation restricting its disclosure.
9.5 The provisions of clause 9.2 shall not apply to any information which must by Law be disclosed by the receiving Party so long as the receiving Party provides the disclosing Party with prompt notice and complies with any protective order imposed on such disclosure.
9.6 At the request of the disclosing Party, the receiving Party will on termination of this Contract return or (to the extent possible) securely destroy all of the other Party's Confidential Information that is reduced to writing, drawing(s), schematic(s) or any other form of documentation, whether held in hard copy or machine-readable form or destroy or delete all such material and to certify the destruction to the disclosing Party.
10.1 Nothing in the Contract shall operate to exclude or limit the liability of either Party which cannot legally be limited, including liability for:
10.2 Subject to clauses 10.1 and 5.3, neither Party shall be liable to the other Party, whether in contract or in tort (including for negligence, of statutory duty howsoever arising), misrepresentation (whether innocent or negligent) restriction or otherwise, for:

10.4 SaleCycle se ha comprometido a que los Servicios cumplan con las especificaciones pertinentes en la cláusula 4. 10.5 Con sujeción a las cláusulas 10.1 y 10.2, la responsabilidad total de SaleCycle en virtud del contrato por todas las reclamaciones, ya sean contractuales, extracontractuales (incluida la negligencia), de interpretación errónea, por incumplimiento de obligaciones legales o de otro tipo, que surjan en virtud del contrato o en relación con el mismo, no superará el valor total de los honorarios pagados a SaleCycle por el cliente durante el año contractual en el que se haya producido el incumplimiento o los incumplimientos. 10.6 Las indemnizaciones del presente contrato están sujetas a las siguientes condiciones:
10.6.1 la parte indemnizada notifica sin demora a la parte indemnizadora por escrito de la reclamación;
10.6.2 la parte indemnizada no hace admisiones o acuerdos sin el consentimiento previo por escrito de la parte indemnizadora;
10.6.3 la parte indemnizada proporcionará a la parte indemnizadora toda la información y asistencia que éste pueda requerir razonablemente; y
10.6.4 la parte indemnizada permite a la la parte indemnizadora el control total de la resolución de cualquier acción o reclamación.
10.6.5 Las indemnizaciones del presente contrato no podrán invocarse en la medida en que la acción o reclamación se derive del cumplimiento por parte del indemnizado de cualesquiera diseños, especificaciones o instrucciones de la parte indemnizada.
10.6.6 La parte indemnizada hará todos los esfuerzos razonables para mitigar, siempre y cuando sea posible, las responsabilidades, costes, gastos, daños y pérdidas subyacentes.
11.1 Durante la vigencia del contrato y por un periodo de seis años tras la expiración o rescisión del contrato, SaleCycle mantendrá en vigor, con una compañía aseguradora acreditada, un seguro de responsabilidad profesional por un importe no inferior a 5 millones de libras esterlinas y, a petición del cliente, presentará tanto el certificado de seguro con los detalles de la cobertura, como el recibo de la prima del año en curso.
12.1 Las partes acuerdan que cumplirán en todo momento las disposiciones y obligaciones impuestas por la Ley y el Acuerdo de Procesamiento de Datos de SaleCycle que se encuentra aquí y que queda debidamente incorporado al presente contrato.
13.1 Los servicios y toda la información, plataformas y otros contenidos (incluyendo información, productos y contenidos de terceros) se proporcionan "tal cual" y están sujetos a cambios en cualquier momento sin previo aviso al cliente.
13.2 En la máxima medida permitida por la ley o el derecho consuetudinario, y salvo que se establezca expresamente en el presente contrato, SaleCycle renuncia a todas las representaciones, garantías, obligaciones y responsabilidades (expresas, implícitas y legales, incluyendo pero no limitado a las condiciones de calidad satisfactoria, idoneidad para un propósito particular y no infracción de los derechos de propiedad) relativas a los servicios y a toda la información, plataformas y otros contenidos (incluyendo productos de información de terceros y contenidos) incluidos en o accesibles desde este documento a la plataforma SaleCycle y / o sitio web.
14.1 El contrato comenzó en la fecha efectiva y, salvo que se rescinda antes, de conformidad con la presente cláusula 14, continuará en vigor durante el plazo inicial indicado en el Pedido. Una vez transcurrido el plazo inicial, el contrato se renovará automáticamente por periodos consecutivos (cada uno de ellos un "plazo subsiguiente") de duración igual al plazo inicial indicado en el Pedido, salvo que el cliente notifique por escrito su resolución con una antelación mínima de 90 días a la finalización del plazo inicial o del plazo subsiguiente correspondiente, en cuyo caso el contrato quedará resuelto a la expiración de dicha notificación.
14.2 Si el cliente desea implementar el software SaleCycle y los servicios en nuevas regiones, sitios web o añadir funciones adicionales de SaleCycle a este contrato, la duración de este contrato se ampliará automáticamente por el periodo indicado en el nuevo Pedido, a partir de la fecha de lanzamiento de los servicios adicionales en la nueva región o sitio web.
14.3 Sin perjuicio de cualquier otro derecho o recurso de que disponga, cualquiera de las partes podrá rescindir el contrato con efecto inmediato mediante notificación por escrito, si la otra parte:
14.3.1 comete un incumplimiento esencial del contrato y, si el incumplimiento es subsanable, la otra parte no lo subsana en un plazo de 30 días a partir de la recepción de una notificación por escrito en la que se especifique la naturaleza del incumplimiento; o 14.3. 2 convoque una junta de acreedores, se declare en quiebra, sea incapaz de pagar sus deudas, se nombre un administrador judicial (o síndico, o administrador) sobre sus activos o negocios, sea objeto de una petición presentada para ponerla en liquidación (con fines distintos a los de fusión o reconstrucción) o cese o amenace con cesar en sus actividades, o a la otra parte le ocurra algo análogo a cualquiera de estos hechos en cualquier otra jurisdicción en la que opere dicha parte.14.4 Sin perjuicio de cualquier otro derecho o recurso de que disponga, SaleCycle podrá, a su discreción y con efecto inmediato, suspender los servicios o rescindir el contrato mediante notificación por escrito al cliente, si el cliente no paga cualquier cantidad indiscutible adeudada a SaleCycle en virtud del contrato o se ve sometido a (o SaleCycle cree razonablemente que el cliente está a punto de verse sometido a) cualquiera de los eventos enumerados en la cláusula 14.3.2).
14.5 A la terminación del contrato, el cliente abonará inmediatamente a SaleCycle todas las facturas pendientes de pago e intereses de SaleCycle y, con respecto a los servicios prestados pero para los que no se haya presentado factura, SaleCycle presentará una factura, que será pagadera por el cliente inmediatamente después de su recepción.
14.6 De conformidad con la cláusula 5.3., si el cliente rescinde el contrato antes de que finalice el plazo inicial (o cada plazo subsiguiente), excluyendo la rescisión resultante de un incumplimiento material por parte de SaleCycle, el cliente acepta pagar los honorarios por el periodo restante del contrato.
14.7 La rescisión del contrato no afectará a los derechos, recursos, obligaciones o responsabilidades de las partes devengados hasta la fecha de rescisión, incluido el derecho a reclamar daños y perjuicios con respecto a cualquier incumplimiento del contrato que existiera en la fecha de rescisión o con anterioridad a la misma.
14.8 Cualquier cláusula que, de forma expresa o implícita, esté destinada a sobrevivir a la rescisión o expiración del presente contrato, continuará en vigor a pesar de dicha expiración o rescisión, incluidas, para evitar cualquier duda, las cláusulas 6 (Pago), 7 (Propiedad intelectual), 9 (Confidencialidad), 10 (Límite de responsabilidad) y 12 (Privacidad y cumplimiento).
15.1 Ninguna de las partes será responsable ante la otra por cualquier retraso, fallo o interrupción en el cumplimiento de cualquier término o condición del contrato si dicho retraso, fallo o interrupción se debe a acontecimientos, circunstancias o causas fuera de su control razonable, que incluirán (pero no se limitarán a) casos fortuitos, riesgos marítimos o aéreos, incendio, inundación, sequía, explosión, sabotaje, embargo, disturbios o conmoción civil.
15.2 Toda notificación dirigida a una de las partes en virtud del presente contrato o en relación con el mismo se realizará por escrito y, salvo que se especifique lo contrario, podrá entregarse en persona o por correo certificado con acuse de recibo. Si se entrega en mano o por correo certificado, la notificación se considerará entregada en el momento de la firma del recibo de entrega o en el momento en que se deje la notificación en la dirección correspondiente. Las notificaciones deberán dirigirse al secretario de la sociedad de la parte receptora en la dirección detallada en el Pedido. Para evitar cualquier duda, las facturas no constituirán una notificación a los efectos de esta disposición y se entregarán de conformidad con la cláusula 6 (Pago) y cualquier notificación de modificación de estas condiciones se entregará de conformidad con la Introducción a estas condiciones.
15.3 Si alguna disposición o disposición parcial del contrato es declarada inválida o inaplicable o pasa a ser inválida o inaplicable por un tribunal de jurisdicción competente, dicha disposición se considerará modificada en la medida mínima necesaria para que dicha disposición sea válida, legal y aplicable. Si dicha modificación no fuera posible, la disposición o parte de la disposición en cuestión se considerará suprimida del contrato. Cualquier modificación o supresión de una disposición o disposición parcial en virtud de la presente cláusula no afectará a la validez y aplicabilidad del resto del contrato.
15.4 La relación de las partes establecida por el contrato es exclusivamente la de contratistas independientes, y nada de lo contenido en el presente contrato se interpretará en el sentido de convertir a cualquiera de las partes (o a sus agentes o empleados) en representante o agente de la otra parte a ningún efecto. Cualquier representación o garantía por escrito que no figure expresamente en el presente contrato no será exigible por el cliente.
15.5 La Ley de Contratos (Derechos de Terceros) de 1999 no será de aplicación al contrato y nada de lo dispuesto en el contrato confiere o pretende conferir a ningún tercero ningún beneficio ni ningún derecho a exigir el cumplimiento de ninguna cláusula del contrato, ni opera para otorgar a ningún tercero el derecho a exigir el cumplimiento de ninguna cláusula del contrato.
15.6 El contrato y cualquier disputa o reclamación derivada del mismo o relacionada con él (incluidas las reclamaciones extracontractuales) se regirán e interpretarán de conformidad con las leyes de Inglaterra.
15.7 Las partes acuerdan someterse a la jurisdicción exclusiva de los tribunales de Inglaterra en relación con todas las cuestiones derivadas o relacionadas con el contrato (incluidas las disputas o reclamaciones no contractuales).
15.8 La renuncia a cualquier derecho o recurso previsto en el contrato o por la ley sólo será efectiva si se realiza por escrito y no se considerará una renuncia a cualquier derecho o recurso posterior. El hecho de que una parte no ejerza o retrase el ejercicio de cualquier derecho o recurso previsto en el contrato, o por la ley, no constituirá una renuncia a ese o cualquier otro derecho o recurso, ni impedirá o restringirá cualquier ejercicio posterior de ese o cualquier otro derecho o recurso. El ejercicio único o parcial de cualquier derecho o recurso previsto en el contrato o por la ley no impedirá ni restringirá el ejercicio ulterior de ese u otro derecho o recurso.
15.9 El contrato constituye el acuerdo y entendimiento íntegro de las partes en relación con su objeto y sustituye y extingue cualquier acuerdo, entendimiento, promesa, seguridad, garantía y/o representación anteriores en relación con dicho objeto, ya sean escritos u orales. Cada una de las partes reconoce que, al celebrar el contrato, no se basa en ninguna declaración, afirmación, seguridad o garantía (ya se haya realizado de forma inocente o negligente) que no esté recogida en el contrato, y no tendrá derecho a recurso alguno en relación con la misma. Cada una de las partes acepta que no tendrá derecho a reclamar por declaración falsa inocente o negligente o por declaración falsa negligente basada en cualquier declaración del contrato.
15.10 Ninguna modificación del Pedido será efectiva a menos que se haga por escrito y esté firmada por ambas partes.
15.11 Salvo que SaleCycle tenga derecho a subcontratar sus obligaciones en virtud del contrato, ninguna de las partes podrá ceder, hipotecar, gravar, subcontratar, delegar, declarar un fideicomiso, sustituir, transferir o negociar de cualquier otra forma con cualquiera de sus derechos y obligaciones en virtud del contrato sin el consentimiento previo por escrito de la otra parte, salvo que cualquiera de las partes pueda ceder o transferir el contrato en relación con la venta o transferencia de todos o sustancialmente todos los activos, acciones o negocios de dicha parte mediante venta, fusión, consolidación o transacción similar, siempre que esto no entre dentro de ninguna de las circunstancias previstas en la cláusula 14.3.2

ACUERDO DE TRATAMIENTO DE DATOS
DEFINICIONES
"Salvaguardias apropiadas" son los mecanismos jurídicamente exigibles para las transferencias de datos personales según lo permitido por la Ley de Protección de Datos en cada momento.
"Contrato" se refiere a los Términos y Condiciones que regulan el servicio prestado al cliente por SaleCycle.
"Controlador de datos" tiene el significado dado a dicho término (o al término "controlador") en la Ley de Protección de Datos.
"Procesador de datos" tiene el significado dado a dicho término (o al término "procesador") en la Ley de Protección de Datos.
"Ley de Protección de Datos" significa cualquier ley, estatuto, declaración, decreto, directiva, legislación, promulgación, orden, ordenanza, regulación, regla u otra restricción vinculante (modificada, consolidada o promulgada en cada momento) que tenga relación con el tratamiento de datos personales (incluyendo, a modo ejemplificativo, la privacidad de las comunicaciones electrónicas) al que está sujeta una parte, incluyendo, entre otros, el RGPD, la Ley de Privacidad Electrónica y la Ley de Protección de Datos, o ese mismo día, según sean aplicables, modifique o actualice cada una de ellos cuando resulte oportuno en todas las jurisdicciones en las que opera el cliente.
"Pérdidas de protección de datos" significa todas las responsabilidades, incluidos todos los costes (incluidos los costes legales), reclamaciones, demandas, acciones, acuerdos, intereses, cargos, procedimientos, gastos, pérdidas y daños (incluidos los relacionados con daños materiales o inmateriales); y en la medida permitida por la Ley:
i. todas las multas administrativas, penalizaciones, sanciones, responsabilidades u otros recursos impuestos por una autoridad de control;ii. la indemnización que una autoridad de control ordene pagar a un titular de los datos; yiii. Los costes razonables de cumplimiento de las investigaciones de una autoridad de control.
"Interesado" tiene el significado establecido en el RGPD de la UE y el RGPD del Reino Unido.
"Solicitud de Interesado" significa una solicitud o notificación de acceso real o supuesto, o una queja de, o en nombre de, un interesado que ejerce sus derechos en virtud de la Ley de Protección de Datos.
"Datos personales" tiene el significado que se le da a ese término en la Ley de Protección de Datos.
"Tratamiento" tiene el significado establecido en el RGPD (y "trata" y "tratado" se interpretarán en consecuencia).
"Datos protegidos" significa los datos personales recibidos de o en nombre del cliente en relación con el cumplimiento de las obligaciones de SaleCycle en virtud del presente contrato.
"Violación de datos protegidos" significa cualquier violación de seguridad que conduzca a la destrucción, pérdida, alteración, divulgación no autorizada o acceso accidental o ilegal de cualquier dato protegido.
"Subencargado" significa otro encargado del tratamiento contratado por SaleCycle para llevar a cabo actividades de tratamiento de datos relativas a los datos protegidos en nombre del cliente.
"Autoridad de control" significa cualquier agencia, departamento, funcionario, parlamento, persona pública o estatutaria local, nacional o multinacional o cualquier organismo gubernamental o profesional, autoridad reguladora o supervisora, junta o cualquier otro organismo responsable de administrar la Ley de Protección de Datos.
"RGPD del Reino Unido" significa el Reglamento General de Protección de Datos, Reglamento (UE) 2016/679, ya que forma parte de la legislación nacional del Reino Unido en virtud de la sección 3 de la Ley de la Unión Europea de 2018 (incluida su posterior enmienda o modificación por las leyes del Reino Unido o una parte del Reino Unido de vez en cuando).
1. Relación entre procesador y controlador
1.1 Las partes acuerdan que: Las partes acuerdan que, a los efectos de la Ley de Protección de Datos, el cliente será el responsable del tratamiento y SaleCycle será el encargado del tratamiento.
1.2 Las partes acuerdan que cumplirán en todo momento con las disposiciones y obligaciones impuestas por la Ley, incluida, a título meramente enunciativo, la Ley de Protección de Datos. Este apéndice se añade a las obligaciones y derechos de las partes reconocidos y establecidos por la Ley de Protección de Datos, sin eximir, suprimir o reemplazar ninguno de ellos.
1.3 Ambas partes acuerdan y aceptan que la siguiente tabla establece una descripción precisa de los Particulares de Protección de Datos.
- Objeto del Tratamiento de datos: SaleCycle tratará los datos de clientes potenciales y existentes en nombre del cliente con fines de remarketing digital.
- Naturaleza y propósito del tratamiento: los datos se recopilarán mediante JavaScript alojado, que se emplea siempre que se carga una página. Los datos se transmitirán en un formato cifrado a través de Internet a los servidores back-end de SaleCycle y a las bases de datos para su tratamiento, lo que permitirá la entrega de comunicaciones de marketing personalizadas, en tiempo real, por correo electrónico y por SMS. Los mensajes y los datos asociados, así como los datos recopilados, se almacenarán en bases de datos seguras para la realización de informes y el análisis en nombre del cliente.
- Tipo de datos personales que se tratan: nombre, número de teléfono o móvil, dirección de correo electrónico, información del navegador, incluida la dirección IP, saludo, estado de aceptación, dirección.
- Las categorías de las personas interesadas: clientes potenciales y existentes de la página web de un cliente.
2. INSTRUCCIONES Y DETALLES DEL TRATAMIENTO
2.1 SaleCycle deberá:2.1.1 tratar los datos de conformidad exclusiva con las instrucciones documentadas y por escrito del cliente, salvo que esté obligado por ley a hacerlo de manera diferente. Cuando la base de legitimación del tratamiento sea una obligación legal prevista en el derecho de la Unión Europea o de uno de los estados miembros, SaleCycle deberá notificar inmediatamente tal circunstancia al cliente antes de efectuar el tratamiento prescrito por la ley, a no ser que la misma prohíba informar de ello al cliente. Para evitar cualquier duda, la firma de un contrato con SaleCycle será considerada como una orden o instrucción del cliente para tratar los datos protegidos con la finalidad de prestar los servicios.2.1.2 garantizar que todo el personal que tenga acceso o trate datos protegidos esté obligado a mantener la confidencialidad de los datos personales; (excepto cuando la Ley requiera su divulgación, en cuyo caso SaleCycle deberá, cuando sea factible y no esté prohibido por la Ley de Protección de Datos, notificar al cliente dicho requisito antes de su divulgación);2.1.3 informar al cliente si SaleCycle tiene conocimiento de una instrucción de tratamiento que, en opinión de SaleCycle, infringe la Ley, siempre que: i) no afecte las cláusulas 2.1.1, 2.2 y 3.2 del presente apéndice 1 en la medida máxima permitida por ley, SaleCycle no tendrá responsabilidad alguna (ya sea contractual, extracontractual, incluida la negligencia, o de otro tipo) por pérdidas, costes, gastos o responsabilidades, incluidas las pérdidas de protección de datos que emanen directa o indirectamente de todo tratamiento de datos de conformidad con las instrucciones del cliente.2.2 El cliente y SaleCycle acuerdan que es responsabilidad del cliente garantizar que:2.2.1 las instrucciones que el cliente facilite a SaleCycle sobre el tratamiento de los datos protegidos serán conformes al derecho (incluidas, a título meramente enunciativo, la Ley de Protección de Datos y la Ley de Privacidad Electrónica); lo anterior incluye, a título meramente enunciativo, garantizar que el cliente haya determinado la base legal más apropiada para el tratamiento de los datos protegidos; y2.2.2 cuenta con todos consentimientos y notificaciones necesarias y adecuadas para para permitir la transferencia legal de los Datos Protegidos a SaleCycle durante la vigencia y con las finalidades del contrato.2.3 El cliente notificará a SaleCycle de antemano acerca de cualesquiera cambios planeados sobre el sitio web del cliente ("cambio en el sitio web") que alteren o puedan alterar los servicios y que SaleCycle dispondrá de tiempo razonable (según se determine por SaleCycle en función de las circunstancias) desde la fecha de notificación a SaleCycle de un cambio en el sitio web para valorar el mismo y, donde proceda, modificar los servicios para acomodar dicho cambio en el sitio web de tal manera que permita la continuación de los servicios. SaleCycle tendrá derecho a facturar al cliente el tiempo y costes de desarrollo razonables para adaptar dicho cambio en el sitio web.2.4 Cuando no resulte posible, o comercialmente razonable, para SaleCycle acomodar el cambio en el sitio web en virtud de la cláusula 2.3, el cliente y SaleCycle acuerdan discutir las opciones disponibles, incluyendo pero no limitadas a, (1) terminar los servicios y que SaleCycle pueda facturar un importe justo y razonable por la terminación, el cual no será superior al valor medio restante del contrato; (2) cuando sea posible, la retirada de parte de los Servicios para asegurar la continuación de los servicios no afectados por el cambio en el sitio web.2.5 En el caso de que el cliente no notificara en virtud de la cláusula 2.3 y cualquier proceso posterior dañara los servicios prestados al cliente por SaleCycle o infringiese la Ley, SaleCycle no tendrá ninguna responsabilidad que de cualquier modo (ya sea contractual, por daños (incluyendo negligencia) o de cualquier otro tipo) surja por cualesquiera pérdidas, costes, gastos o responsabilidades incluyendo las pérdidas de protección de datos que deriven de o en conexión con cualquier tratamiento surgido del cambio en el sitio web.2.6 El cliente entiende y acepta que los servicios de SaleCycle pueden generar, y SaleCycle puede utilizar, datos agregados y totalmente anónimos para sus propios fines internos, incluyendo, entre otros, el análisis estadístico, la elaboración de informes y el desarrollo de nuevos productos.2.7 El cliente acepta que SaleCycle podrá transferir los datos protegidos a países fuera del Espacio Económico Europeo siempre que dichos traspasos se efectúen mediante salvaguardias apropiadas y de conformidad con la Ley de Protección de Datos.3. MEDIDAS TÉCNICAS Y ORGANIZATIVAS
3.1 SaleCycle garantiza que, teniendo en cuenta el estado del desarrollo tecnológico y el coste de implementar cualquier medida, adoptará las medidas técnicas y organizativas apropiadas contra la pérdida, el acceso no autorizado, el uso no autorizado, la modificación no autorizada o la destrucción no autorizada de datos para garantizar un nivel de seguridad apropiado para:
3.1.1 el daño que pudiera resultar de tales situaciones; y3.1.2 la naturaleza de los datos que sea preciso proteger.3.2 El cliente garantiza, acepta y confirma que ha observado la debida diligencia en relación con las operaciones de tratamiento de datos de SaleCycle, y está convencido de que:3.2.1 las operaciones de tratamiento de datos de SaleCycle son adecuadas para los fines para los que el cliente pretende usar los servicios e involucra a SaleCycle en el tratamiento de los datos protegidos; y3.2.2 SaleCycle cuenta con la experiencia, la fiabilidad y los recursos necesarios como para implementar medidas técnicas y organizativas que cumplan con los requisitos de la Ley de Protección de Datos.4. OTROS ENCARGADOS DEL TRATAMIENTO
4.1 Cuando SaleCycle utilice un encargado específico externo a petición del cliente, SaleCycle no tendrá ninguna responsabilidad por el uso de los datos protegidos que haga este encargado externo y el cliente se asegurará de que dicho encargado externo cumpla con la Ley de Protección de Datos, y esté sujeto a obligaciones similares a las de SaleCycle en virtud del presente apéndice 1.4.2 SaleCycle deberá:4.2.1 no contar con ningún subencargado para llevar a cabo las actividades de tratamiento de datos relacionadas con los datos protegidos sin la autorización por escrito del cliente (no debe retenerse, condicionarse ni retrasarse dicha autorización injustificadamente) siempre que el cliente autorice el nombramiento de cualquier subencargado en el momento de celebración del contrato;4.2.2 designar a un subencargado en virtud de un contrato por escrito de conformidad con los términos comerciales estándar de esa parte que recojan el cumplimiento legal y la privacidad de los datos; contrato que deberá incluir los requisitos exigidos por la Ley de Protección de Datos; e4.2.3 informar al cliente de cualquier cambio previsto relacionado con la incorporación o la sustitución de los subencargados, confiriendo al cliente la oportunidad de oponerse a dichos cambios. SaleCycle tendrá en cuenta, dentro de lo razonable, las opiniones del cliente al designar dicho subencargado, pero con el objeto de evitar todo género de duda, el nombramiento de cualquier subencargado quedará a la absoluta discreción de SaleCycle y este no tendrá la obligación de actuar teniendo en cuenta ninguna objeción planteada por el cliente.4.3 Una lista actualizada de los encargados de tratamiento puede encontrarse aquí
4.4 Como sucede entre el cliente y SaleCycle, SaleCycle seguirá siendo totalmente responsable de todos los actos u omisiones de cualquier subencargado designado por SaleCycle, de conformidad con lo establecido en este acuerdo.5. SOLICITUDES DE PERSONAS INTERESADAS
5.1 Teniendo en cuenta la naturaleza del tratamiento de datos, SaleCycle ayudará al cliente en la medida de lo razonablemente posible con el cumplimiento de sus obligaciones de responder a las solicitudes de la persona interesada en relación con los datos protegidos.5.2 SaleCycle remitirá todas las solicitudes de la persona interesada que reciba al cliente en un plazo de tres días hábiles tras la recepción de la solicitud.6. AYUDA CON EL CUMPLIMIENTO
6.1 SaleCycle proporcionará la asistencia que, dentro de lo razonable, el cliente requiera (teniendo en cuenta la naturaleza del tratamiento de datos y la información a disposición de SaleCycle) para garantizar el cumplimiento de las obligaciones del cliente en virtud de la Ley de Protección de Datos en relación con:6.1.1 la seguridad del tratamiento de datos;6.1.2 la notificación de un incumplimiento relativo a los datos protegidos a una autoridad de supervisión;6.1.3 la comunicación de un incumplimiento relativo a los datos protegidos a una persona interesada; y
6.1.4 la ejecución de una evaluación del impacto de la protección de datos (como se define el término en la Ley de Protección de Datos).7. NOTIFICACIÓN DE VIOLACIÓN
7.1 En relación con cualquier Incumplimiento relativo a los datos protegidos, SaleCycle se encargará de lo siguiente, sin retrasos indebidos (y, en cualquier caso, en un plazo máximo de 24 horas):7.1.1 notificar al cliente del incumplimiento relativo a los datos protegidos; y7.1.2 proporcionar al cliente los detalles del incumplimiento relativo a los datos protegidos.7.1.3 llevar a cabo todos los pasos razonablemente exigibles para solucionar el incumplimiento relativo a los datos protegidos y mitigar el impacto del mismo.8. ELIMINACIÓN O DEVOLUCIÓN DE DATOS Y COPIAS PROTEGIDAS
8.1 SaleCycle deberá, a discreción del cliente, eliminar o devolver todos los datos protegidos al cliente después de la finalización de la prestación de los servicios. El cliente puede solicitar la devolución o destrucción de cualquier otro tipo de datos analíticos, y las partes deberán acordar dicha devolución caso por caso en los términos comerciales que se acuerden.
9. INFORMACIÓN Y AUDITORÍA
9.1 SaleCycle conservará, de acuerdo con la Ley de Protección de Datos vinculante para SaleCycle, registros escritos de las categorías de actividades de tratamiento de datos llevadas a cabo en nombre del cliente.9.2 SaleCycle deberá, de conformidad con la Ley de Protección de Datos, y previa solicitud por escrito del cliente, poner a disposición de los clientes del cliente la información que sea razonablemente necesaria para demostrar el cumplimiento de SaleCycle con las obligaciones de los encargados del tratamiento en virtud de la Ley de Protección de Datos.9.3 SaleCycle deberá, previa solicitud por escrito del cliente y, con una notificación razonable, permitir que los representantes del cliente auditen a SaleCycle ("Derecho de Auditoría") o que proporcionen al cliente información razonable con el fin de verificar el cumplimiento de los requisitos del presente apéndice 1 con las siguientes condiciones:9.3.1 al cliente solo se le permitirá ejercer el Derecho de Auditoría en virtud de la presente cláusula 9.3 con una frecuencia no superior a una vez al año;9.3.2 cada auditoría se realizará a expensas del cliente;9.3.3 el cliente no deberá, al llevar a cabo las auditorías, interrumpir sin motivo justificado las operaciones comerciales de SaleCycle;9.3.4 cualquier auditoría de SaleCycle se llevará a cabo durante el horario comercial normal de SaleCycle;9.3.5 el cliente se asegura de que toda la información obtenida o generada por SaleCycle o el cliente o los representantes del cliente en relación con una auditoría se mantenga estrictamente confidencial (salvo la divulgación exigida por ley); y9.3.6 el cliente deberá pagar los costes razonables en que incurra SaleCycle por contribuir a la auditoría si la duración de la auditoría excede un día hábil.

Terms and Conditions
Introduction
These terms and conditions and documents incorporated herein (“Conditions”) govern the use of the SaleCycle Services and Platform to the exclusion of all other terms and by entering into the Order with SaleCycle you agree to these Conditions. You should read this Conditions carefully and ensure any Authorised Person or user of the Services is aware of these Conditions.
SaleCycle may amend these Conditions from time to time. SaleCycle will provide notice of such change on their website and Platform and by continuing to use the SaleCycle services you agree to such changes. Please note, SaleCycle shall not be entitled to vary the Order, except for as specifically provided within these Conditions, or with the agreement of the Client as per clause 15.10.
SaleCycle may from time to time develop or include additional services to their product suite and where a Client procures such additional service, if applicable, they shall enter into a new Contract and agree to specific service terms relating to that new service which will be annexed to these Conditions or subsequent versions of the Conditions.
Where we translated these Conditions for your ease, the English version shall prevail in the event of any dispute.
The Introduction shall constitute part of the Conditions.®
1. Definitions
In these Terms and Conditions, the following words and expressions shall have the following meanings:
1.1 “Affiliate” means, in relation to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with that party from time to time, where "control" means the direct or indirect ownership of more than fifty percent (50%) of the voting rights or the ability to direct the management and policies of the relevant entity.
1.2 "Authorised Person" means a person who is authorised by SaleCycle or the Client, as appropriate, to deal with the other Party in relation to this Contract.
1.3 “Beyable” means Attuneo SAS, a company incorporated in France under company number 804 353 126 and trading as Beyable, together with any successor entity.
1.4 "Client Default" has the meaning set out in clause 5.2 below.
1.5 "Client Materials" means all text, images, content, trade marks, product names, logos and any other materials in which the Client owns the Intellectual Property Rights and which the Client supplies to SaleCycle for use in the performance of the Services.
1.6 "Confidential Information" means information that either Party designates as confidential or which under the circumstances surrounding disclosure, reasonably ought to be treated as confidential, including without limitation the terms of this Contract, a Party's finances and business, affairs, all commercial, financial, marketing, business and technical information, data (including all data relating to customers and prospective customers), products, strategic development and marketing plans, trade secrets, know-how, personnel and suppliers of the disclosing Party together with all information directly derived from the foregoing.
1.7 "Content" means information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, contained within a Marketing Communication, excluding any Client Materials.
1.8 "Contract" means the contract entered into between SaleCycle and the Client for the supply of Services in accordance with the Terms and the Order Form.
1.9 "Effective Date" means the date on which the Order is accepted by SaleCycle.
1.10 "Fees" means the fees payable by the Client to SaleCycle under the Contract.
1.11 “Group Company” means SaleCycle, any Affiliate of SaleCycle and Beyable.
1.12 "Good Industry Standards" means the standards reasonably expected of a skilled supplier of the type of Services provided by SaleCycle.
1.13 "Initial Term" means the period as stated in the Order which commences when the SaleCycle campaign is launched.
1.14 "Intellectual Property Rights" means all intellectual property rights and interests including, without limitation, any and all patents, utility models, rights to inventions, copyright and neighbouring and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether
registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
1.15 "Law" means all laws, legislation and regulations (as they may be amended), in all jurisdictions in which the Client operates, relating to the provision and receipt of the Services including, but not limited to, rules relating to Processing of Personal Data or personally identifiable information and the content and sending of Marketing Communications in or from those jurisdictions.
1.16 "Marketing Communication" means a communication (including but not limited to email, SMS or WhatsApp) sent to a Visitor as a result of the Services;
1.17 "Order" means SaleCycle’s order form for the Services as filled out and signed by the Client.
1.18 "Party" means SaleCycle or the Client as the Contract may require.
1.19 “SaleCycle Personnel” means SaleCycle's and its Group Companies' employees, officers, directors, contractors, consultants, temporary workers, agency personnel and authorised subcontractors engaged in the provision, support, maintenance, development, improvement or security of the Services.
1.20 "SaleCycle Sale" means a sale by the Client to a Visitor which is attributed to SaleCycle's Services in accordance with the Attribution Model.
1.21 "Services" means the services to be provided under the Contract as further set out in the Order
1.22 "Term" means the period during which the Contract is in force as provided in the Order and pursuant to clause 14.
1.23 "Visitor" means a visitor to the Website.
1.24 "Website" means the Client's transactional website(s) in relation to which the Services are provided.
1.25 “WhatsApp Services” means the provision of Marketing Communications and customer engagement tools via the WhatsApp Business Platform, including but not limited to abandoned cart reminders, order updates, and promotional messaging.
2. Interpretations
2.1 All references to Clauses and Sub-Clauses are to Clauses and Sub-Clauses in these Conditions.
2.2 In the event of any inconsistency between these Conditions and the terms contained in any Schedule or Annexure to these Conditions, these Conditions shall apply to the extent of the inconsistency except where the provisions of the relevant Schedule explicitly state otherwise.
2.3 If there is any conflict or ambiguity between the terms of the Order and the Conditions, a term contained in the Order shall take priority over one contained in the Conditions.
3. Scope of Contract
3.1 In consideration of payment of the Fees by the Client, and subject to the terms and conditions of the Contract, SaleCycle will provide to the Client during the Term the Services in accordance with the Contract.
3.2 The Order constitutes an offer by the Client to purchase Services in accordance with these Conditions and shall remain valid for a period of 40 days from the date of the Order, unless extended at the discretion of SaleCycle.
3.3 The Order shall only be deemed to be accepted when SaleCycle issues written acceptance of the Order at which point and on which date the Contract shall come into existence.
3.4 Any samples, drawings, descriptive matter or advertising issued by SaleCycle, and any descriptions or illustrations contained in SaleCycle’s catalogues or brochures, are issued or published for the purpose of giving an approximate idea of the Services described in them. They shall not form part of the Contract or any contractual force.
3.5 This Contract shall apply to the Contract to the exclusion of any other terms that the Client seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
3.6 The addition of new Services or alteration of ongoing Services shall be achieved by executing a new written letter of variation signed between the Parties and unless otherwise agreed, where the Client is including new Services, the Initial Term specified in the Order shall restart from the Go Live Date of the new Service, unless otherwise agreed in writing in the relevant Order.
3.7 In order to utilise the Services, SaleCycle shall provide a licence and where applicable login credentials to use the Platform and Services in accordance with these Conditions. The Client needs to ensure access to the internet and relevant browsers to access the Platform and Services.
3.8 SaleCycle may provide Platform usernames and passwords as part of the Services and the Client agrees that all Platform activity, which can be traced to Client usernames and passwords, are deemed to have been performed by the Client and are not the responsibility of SaleCycle.
4. Supply of Services
4.1 SaleCycle shall supply the Services to the Client in accordance with the Order in all material respects.
4.2 SaleCycle shall use all reasonable endeavours to meet any performance dates specified in the Order, but any such dates shall be estimates only and time shall not be of the essence for performance of the Services.
4.3 SaleCycle reserves the right to amend the Order if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services, and SaleCycle shall notify the Client in any such event.
4.4 SaleCycle warrants to the Client that the Services will be provided using reasonable care and skill.
4.5 The Client acknowledges and agrees that the Services may include technologies, scripts, tags, tools, integrations, functionalities or software components developed, operated or provided by SaleCycle, its Group Companies (including Beyable) or authorised subcontractors, including where such technologies are deployed through an existing SaleCycle tag, container or implementation already present on the Client's Website.
4.6 SaleCycle shall remain responsible for the performance of the Services in accordance with this Contract notwithstanding the involvement of any Affiliate or subcontractor.
5. Client Obligations
5.1 The Client Shall:
5.1.1 deploy and maintain the SaleCycle tag, container and/or associated scripts, integrations and technologies required for the Services to all of its required production website pages and keep the SaleCycle tag deployed for the duration of the Term;
5.1.2 provide SaleCycle with the relevant templates, designs and Client Materials it requires in order to provide the Services. If the Client has brand guidelines or other restrictions on the use of its Client Materials it shall notify them promptly to SaleCycle in advance of or at the time of provision of the Client Materials;
5.1.3 ensure that the terms of the Order are complete and accurate;
5.1.4 co-operate with SaleCycle in all matters relating to the Services and ensure information provided to SaleCycle is complete and accurate.
5.1.5 obtain and maintain all necessary licenses, permissions and consents which may be required for the Services before the date on which the Services are to start;
5.1.6 not, except as permitted under this Agreement, copy, modify, adapt, decode, reverse engineer, decompile or otherwise deconstruct or cause infringement of, the Services, Platform and Content, or attempt to circumvent or interfere with any SaleCycle security features.
5.1.7 comply with all applicable laws; and
5.1.8 comply with any additional obligations as set out in the Order.
5.2 If SaleCycle’s performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation (Client Default) then: 5.2.1 without limiting or affecting any other right or remedy available to it, SaleCycle shall have the right to suspend performance of the Services until the Client remedies the Client Default, and to rely on the Client Default to relieve it from the performance of any of its obligations in each case to the extent the Client Default prevents or delays SaleCycle’s performance of any of its obligations;
5.2.2 SaleCycle shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from SaleCycle’s failure or delay to perform any of its obligations as set out in this clause 5.2; and
5.2.3 the Client shall reimburse SaleCycle on written demand for any costs or losses sustained or incurred by SaleCycle arising directly or indirectly from the Client Default (nothing in this clause is intended to limit SaleCycle’s rights under clauses 6.12 to 6.15).
5.3 The Client agrees that should they terminate the Contract or prevent delivery of the SaleCycle Services, prior to the end of the Initial Term (or each Subsequent Term), excluding termination for SaleCycle’s material breach of the Contract, they shall pay the Fees pro-rata for the remainder of the Initial Term (or each Subsequent Term) and where charges are variable on a Monthly Basis then the remaining Fees shall calculated on a commission per acquisition basis based upon the average SaleCycle Sales activity recorded on the Website over the three calendar months immediately preceding the Downtime or such reasonably applied Forecast in the absence of 3 full months Fees.
6. Payment
6.1 After the end of each calendar month SaleCycle will deliver by email to the Client an invoice for the Fees due under the Contract for the preceding month.
6.2 At the request of the Client, SaleCycle will issue a report supporting the calculation of the invoice.
6.3 SaleCycle reserves the right to increase the Fees on an annual basis with effect from each anniversary of the Effective Date.
6.4 Unless the Client notifies SaleCycle in writing within fourteen (14) days following receipt of an invoice that it disputes an invoiced amount, the Client shall be deemed to have accepted the invoice.
6.5 If the Client disputes the invoice it shall provide reasonable detail in its notice of dispute and the Parties shall work together in good faith to resolve the dispute and the Client shall pay any undisputed amount in accordance with this clause 6.
6.6 Should SaleCycle delay the delivery of an invoice for any reason, it shall not invalidate the invoice and sums shall remain payable within 30 days of receipt of the invoice.
6.7 All Fees and any other charges, costs and expenses owed by the Client to SaleCycle under this Contract are due for payment by the Client within thirty (30) days following the date of SaleCycle’s invoice, unless otherwise specified in the Order, and shall be paid by the Client in full and in cleared funds to a bank account nominated in writing by SaleCycle.
6.8 All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
6.9 Time for payment of the Fees shall be of the essence of the Contract.
6.10 Without limiting any other right or remedy of SaleCycle under the Contract, if the Client fails to make any payment due to SaleCycle under the Contract, SaleCycle shall have the right to: 6.10.1 charge interest on the overdue amount accruing on a daily basis at the rate of four percent (4%) per annum above the then current base rate of Royal Bank of Scotland Plc. From the due date for payment until payment is received in full; and
6.10.2 suspend forthwith and without notice the Client’s access to the Services until the relevant Fee invoice is settled in full. Any such suspension period shall be added to the remainder of the Term (at SaleCycle’s discretion).
6.11 The Fees are exclusive of VAT or any equivalent tax chargeable from time to time. Where any taxable supply for the purposes of VAT or any equivalent tax is made under the Contract by SaleCycle to the Client, the Client shall, on receipt of a valid VAT (or equivalent tax) invoice from SaleCycle, pay SaleCycle such additional amounts in respect of VAT (or equivalent tax) as are chargeable on the supply of the Services at the same time as payment is due for the supply of the Services.
6.12 If, due to no fault of SaleCycle, the sending of Marketing Communications stops or is restricted, for any reason, at any time during the Term (“Downtime”), SaleCycle will invoice and the Client shall pay to SaleCycle, Fees for the duration of the Downtime calculated on a commission per acquisition basis based upon the average SaleCycle Sales activity recorded on the Website over the three calendar months immediately preceding the Downtime.
7. Property Rights of any third party.
7.1 SaleCycle shall indemnify the Client in full against all liabilities, costs, expenses, damages and losses (including all direct losses, liabilities, costs and reasonable professional expenses) suffered or incurred by the Client arising out of or in connection with any claim brought against the Client for actual or alleged infringement of a third party’s Intellectual Property Rights, to the extent that the infringement or alleged infringement results from copying, arising out of, or in connection with, the receipt, use or supply of the Services.
7.2 The Client shall have no claim under the indemnity at clause 7.1 to the extent such infringement by SaleCycle arises from: 7.2.1 the use of Client Materials by SaleCycle in providing the Services;
7.2.2 any modification of the Services, other than by or on behalf of SaleCycle or in breach of clause 5.1.6; and
7.2.3 compliance with the Client’s specifications or instructions.
7.3 The Client: 7.3.1 warrants that the receipt and use of the Client Materials in the performance of the Contract by SaleCycle, its agents, subcontractors or consultants shall not infringe the rights, including any Intellectual Property Rights, of any third party; and
7.3.2 shall indemnify SaleCycle in full against all liabilities, costs, expenses, damages and losses (including all direct losses, liabilities, damages, costs, interest, penalties and reasonable professional expenses suffered or incurred by SaleCycle arising out of or in connection with any claim brought against SaleCycle, its agents, subcontractors or consultants for actual or alleged infringement of a third party's Intellectual Property Rights arising out of, or in connection with, the receipt or use in the performance of this Contract of the Client Materials.
7.4 The Client agrees SaleCycle may use the Client Materials (excluding Protected Data) within Salecycle’s own marketing materials, including but not limited to external marketing publications, ebooks and blogs and on the SaleCycle websites for the promotion of SaleCycle’s services. SaleCycle shall use Client materials responsibly and professionally for the purposes of SaleCycle or its Affiliates own marketing. Should the Client not agree to this use then they should notify SaleCycle promptly in writing.
7.5 The Client agrees that upon the reasonable request of SaleCycle they shall provide SaleCycle with a testimonial or case study relating to the Services and such case study shall be approved by the Client prior to publication, such approval not to be unreasonably withheld or delayed.
8. Approvals and Authority
8.1 Any reference in these Conditions to the Client's Approval shall mean written approval signified by email and sent by an Authorised Person at the Client to an Authorised Person at SaleCycle.
8.2 SaleCycle shall obtain the Client's Approval to all communication templates that form a Marketing Communication before they are live on the Services.
9. Confidentiality
9.1 Each Party shall hold in confidence all Confidential Information obtained from the other pursuant to this Contract and shall not use that Confidential Information save as is necessary to perform its obligations or enjoy its rights under this Contract.
9.2 Each Party may disclose the other Party's Confidential Information to its Affiliates, employees, officers, representatives, subcontractors and advisers who need to know such information for the purposes of performing the Contract.
9.3 Neither Party shall disclose to any third Party without the express written permission of the other Party any Confidential Information obtained from the other Party.
9.4 Each Party may disclose the other Party’s Confidential Information to its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the Party's obligations under the Contract. Each Party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party's confidential information comply with this clause 9.
9.5 The provisions of clauses 9.1 and 9.2 shall not apply to any information which: 9.5.1 is or becomes public knowledge other than by breach of this clause 9;
9.5.2 is in the possession of the receiving Party without restriction before the date of receipt from the disclosing Party; or
9.5.3 is received by the receiving Party from a third Party who lawfully acquired or developed it and who is under no obligation restricting its disclosure.
9.6 The provisions of clause 9.2 shall not apply to any information which must by Law be disclosed by the receiving Party so long as the receiving Party provides the disclosing Party with prompt notice and complies with any protective order imposed on such disclosure.
9.7 At the request of the disclosing Party, the receiving Party will on termination of this Contract return or (to the extent possible) securely destroy all of the other Party's Confidential Information that is reduced to writing, drawing(s), schematic(s) or any other form of documentation, whether held in hard copy or machine-readable form or destroy or delete all such material and to certify the destruction to the disclosing Party.
10. Limit of Liability
10.1 Nothing in the Contract shall operate to exclude or limit the liability of either Party which cannot legally be limited, including liability for: 10.1.1 death or personal injury resulting from negligence;
10.1.2 fraud or fraudulent misrepresentation
10.2 Subject to clauses 10.1 and 5.3, neither Party shall be liable to the other Party, whether in contract or in tort (including for negligence, of statutory duty howsoever arising), misrepresentation (whether innocent or negligent) restriction or otherwise, for: 10.2.1 loss of profits (whether direct or indirect);
10.2.2 loss of business (whether direct or indirect);
10.2.3 loss of sales or business opportunity (whether direct or indirect);
10.2.4 loss of agreements or contracts (whether direct or indirect);
10.2.5 loss of use or corruption of software, data or information (whether direct or indirect);
10.2.6 loss of revenue (whether direct or indirect);
10.2.7 loss of turnover (whether direct or indirect);
10.2.8 loss of or damage to goodwill (whether direct or indirect);
10.2.9 loss of wasted expenditure (whether direct or indirect);
10.2.10 loss of goods (whether direct or indirect);
10.2.11 loss of anticipated savings (whether direct or indirect); or
10.2.12 any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses (whether direct or indirect).
provided that nothing in this clause 10.2 shall limit or otherwise exclude the Client's obligation to pay the Fees (including any profit element) due in respect of the Services pursuant to this Contract.
10.3 SaleCycle has given commitments as to compliance of the Services with relevant specifications in clause 4. In view of these commitments, the terms implied by sections 3, 4 and 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded from the Contract.
10.4 Subject to clauses 10.1 and 10.2 SaleCycle's aggregate liability under the Contract for all claims whether in contract, tort (including negligence), misrepresentation, for breach of statutory duty or otherwise arising under or in connection with the Contract shall not exceed the total value of the Fees paid to SaleCycle by the Client during the contract year in which the breach or breaches occurred. For the purposes of this clause ‘contract year’ means a 12-month period commencing with the Effective Date or any anniversary of it.
10.5 The indemnities in this Contract are subject to the following conditions: 10.5.1 the indemnified party promptly notifies the indemnifier in writing of the claim;
10.5.2 the indemnified party makes no admissions or settlements without the indemnifier’s prior written consent;
10.5.3 the indemnified party gives the indemnifier all information and assistance that the indemnifier may reasonably require; and
10.5.4 the indemnified party allows the indemnifier complete control over the litigation settlement of any action or claim.
10.5.5 The indemnities in this Contract may not be invoked to the extent that the action or claim arises out of the indemnifier’s compliance with any designs, specifications or instructions of the indemnified party.
10.5.6 The Indemnified Party shall use all reasonable endeavours to mitigate whenever and wherever possible any underlying liabilities, costs, expenses, damages and losses.
11. Insurance
11.1 During the Term and for a period of six years following expiry or termination of the Contract, SaleCycle shall maintain professional indemnity insurance with a reputable insurer at levels appropriate for the Services and in any event not less than £5 million in the aggregate and shall, upon reasonable written request, provide evidence of such insurance coverage.
12. Privacy and Compliance
12.1 The Parties agree that they will at all times comply with the provisions and obligations imposed by Law and the SaleCycle Data Processing Agreement contained at Schedule 1 which is duly incorporated into this Contract.
13. Warranties & Indemnities
13.1 The Services and all information, Platforms and other Content (including third party information, products and content) are provided “as is” and are subject to change at any time without notice to the Client.
13.2 To the fullest extent permitted by statute or common law and except as expressly set out in this Contract, SaleCycle disclaims all representations, warranties, obligations and liabilities (express, implied and statutory, including but not limited to the conditions of satisfactory quality, fitness for a particular purpose and non-infringement of proprietary rights) as to the Services and all information, Platforms and other content (including third party information products and content) included in or accessible from this
document to The SaleCycle Platform and/or web site.
14. Term and Termination
14.1 The Contract commenced on the Effective Date and, unless it is terminated earlier in accordance with this clause 14, shall continue in force for the Initial Term indicated in the Order. After the Initial Term the Contract will automatically renew for subsequent consecutive periods (each a “Subsequent Term”) equal in length to the Initial Term indicated in the Order unless the Client provides written notice of termination no less than 90 days prior to end of the Initial Term or relevant Subsequent Term in which case the Contract will terminate on expiry of such notice.
14.2 If the Client wishes to implement the SaleCycle Software and Services in new regions, Websites or add additional SaleCycle features to this Contract, the duration of this Contract will automatically extend for the period stated within the new Order commencing on the date the updated Services are launched in the new region or Website.
14.3 Without affecting any other right or remedy available to it, either Party may terminate the Contract with immediate effect on written notice to the other Party if the other Party: 14.3.1 commits a material breach of the Contract and, if the breach is capable of remedy, the other Party does not remedy the breach within 30 days of receiving written notice to do so specifying the nature of the breach; or
14.3.2 convenes a meeting of its creditors, or becomes insolvent, is unable to pay its debts has an administrative receiver (or receiver, or administrator) appointed over its assets or business, is the subject of a petition presented to put it into liquidation (otherwise than for the purpose of amalgamation or reconstruction) or ceases or threatens to cease to carry on business, or anything analogous to any such events befalls the other Party in any other jurisdiction in which that Party operates.
14.4 Without affecting any other right or remedy available to it, SaleCycle may at its discretion and with immediate effect either suspend the Services or terminate the Contract on written notice to the Client if the Client fails to pay any undisputed amount due to SaleCycle under the Contract or becomes subject to (or SaleCycle reasonably believes that the Client is about to become subject to any of the events listed at clause 14.3.2).
14.5 On termination of the Contract, the Client shall immediately pay to SaleCycle all of SaleCycle's outstanding unpaid invoices and interest and, in respect of Services supplied but for which no invoice has been submitted, SaleCycle shall submit an invoice, which shall be payable by the Client immediately on receipt.
14.6 In accordance with clause 5.3. should the Client terminate prior to the end of the Initial Term (or each Subsequent Term), excluding termination resulting from SaleCycle’s material breach, the Client agrees to pay Fees for the remaining Term of the Contract.
14.7 Termination of the Contract shall not affect any rights, remedies, obligations or liabilities of the Parties that accrued up to the date of termination, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination.
14.8 Any term which is expressly or by implication intended to survive termination or expiry of this Contract shall continue in force notwithstanding such expiry or termination including for the avoidance of doubt clauses 6 (Payment), 7 (Intellectual Property), 9 (Confidentiality) 10 (Limit of Liability) and 12 (Privacy and Compliance).
15. General
15.1 Neither Party shall be under any liability to the other in respect of any delay, failure or interruption in performing any term or condition of the Contract if such delay, failure or interruption results from events, circumstances or causes beyond its reasonable control which shall include (but not be limited to) acts of God, perils of the sea or air, fire, flood, drought, explosion, sabotage, embargo, riot or civil commotion.
15.2 Any notice given to a Party under or in connection with this Contract shall be in writing and, unless otherwise specified, may be delivered in person, by registered or certified, return-receipt requested mail. If hand-delivered or delivered by registered mail or certified mail, the notice shall be deemed delivered upon signature of a delivery receipt or at the time the notice is left at the proper address. Notices should be addressed to the Company Secretary of the receiving Party at the address detailed in the Order. For the avoidance of doubt, invoices shall not constitute a notice for the purposes of this provision and shall be delivered in accordance with clause 6 (Payment) and any notice of amendment to these terms and conditions shall be delivered in accordance with the Introduction to these Conditions.
15.3 If any provision or part provision of the Contract is held invalid or unenforceable or becomes invalid or unenforceable by a court of competent jurisdiction, such provision will be deemed modified to the minimum extent necessary to render that provision valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted from the Contract. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Contract.
15.4 The relationship of the Parties established by the Contract is solely that of independent contractors, and nothing contained in this Contract shall be construed to make either Party (or its agents or employees) the representative or agent of the other Party for any purpose. Any written representation or warranty not expressly contained herein shall not be enforceable by the Client.
15.5 The Contracts (Rights of Third Parties) Act 1999 shall not apply to the Contract and nothing in the Contract confers or purports to confer on any third party any benefit or any right to enforce any term of the Contract or operates to give any third party the right to enforce any term of the Contract.
15.6 The Contract and any dispute or claim arising out of or in connection with it (including non-contractual claims) shall be governed by and construed in accordance with the Laws of England.
15.7 The Parties agree to submit to the exclusive jurisdiction of the courts of England in relation to all matters arising out of or in connection with the Contract (including non-contractual disputes or claims).
15.8 A waiver of any right or remedy under the Contract or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. A failure or delay by a Party to exercise any right or remedy provided under the Contract or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under the Contract or by law shall prevent or restrict the further exercise of that or any other right or remedy.
15.9 The Contract constitutes the entire agreement and understanding of the Parties relating to its subject matter and supersedes and extinguishes any previous agreement, understanding, promise, assurance, warranty and/or representation relating to such subject matter, whether written or oral. Each Party acknowledges that in entering into the Contract it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Contract. Each Party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Contract.
15.10 No amendment to the Order shall be effective unless made in writing and signed by both Parties.
15.11 SaleCycle may subcontract any of its obligations under the Contract. Subject to the foregoing, neither Party may assign, mortgage, charge, subcontract, delegate, declare a trust over, substitute, transfer or deal in any other manner with any of its rights and obligations under the Contract without the other Party's prior written consent, except that either Party may assign or transfer the Contract in connection with the sale or transfer of all or substantially all of such Party's assets, stock or business by sale, merger, consolidation or similar transaction, provided this does not come within any of the circumstances provided for in clause 14.3.2
SCHEDULE 1
Data Processing Agreement
1. Definitions
1.1 "Appropriate Safeguards" means such legally enforceable mechanisms for transfers of Personal Data as maybe permitted under Data Protection Legislation from time to time.
1.2 "Contract" means the terms and conditions that govern the Services provided to the Client by SaleCycle.
1.3 "Data Controller" has the meaning given to that term (or to the term “controller”) in Data Protection Legislation.
1.4 "Data Processor" has the meaning given to that term (or to the term “processor”) in Data Protection Legislation.
1.5 "Data Protection Legislation" means any law, statute, declaration, decree, directive, legislative, enactment,
order, ordinance, regulation, rule or other binding restriction (as amended, consolidated or re-enacted from time
to time) which relates to the Processing of Personal Data (including, without limitation, the privacy of electronic
communications) to which a Party is subject, including but not limited to the EU GDPR and the UK GDPR, E-
Privacy Legislation and the Data Protection Act 2018 as each may be applied, amended or updated from time to time in all jurisdictions in which the Client operates.
1.6 "Data Protection Losses" means all liabilities, including all:costs (including legal costs), claims, demands, actions, settlements, interest, charges, procedures, expenses, losses and damages (including relating to
material or non-material damage); andto the extent permitted by Law:
i. administrative fines, penalties, sanctions, liabilities or other remedies imposed by a Supervisory Authority;
ii. compensation which is ordered by a Supervisory Authority to be paid to a Data Subject; and
iii. the reasonable costs of compliance with investigations by a Supervisory Authority.
1.7 "Data Subject" has the meaning set out in the EU GDPR and UK GDPR.
1.8 "Data Subject Request" means an actual or purported subject access request or notice or complaint from (or on
behalf of) a Data Subject exercising his rights under the Data Protection Legislation
1.9 ."Personal Data" has the meaning given to that term in Data Protection Legislation.
1.10 "Processing" has the meaning set out in the EU GDPR and UK GDPR (and “process” and “processed” shall
be construed accordingly).
1.11 "Protected Data" means Personal Data received from or on behalf of the Client in connection with the performance of SaleCycle’s obligations under this Contract.
1.12 "Protected Data Breach" means any breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, any Protected Data.
1.13 "Sub-Processor" means another Data Processor engaged by SaleCycle for carrying out Processing activities in respect of the Protected Data on behalf of the Client.
1.14 "Supervisory Authority" means any local, national or multinational agency, department, official, parliament, public or statutory person or any government or professional body, regulatory or supervisory authority, board or
other body responsible for administering Data Protection Legislation.
1.15 "UK GDPR" means the General Data Protection Regulation, Regulation (EU) 2016/679 as it forms part of domestic law in the United Kingdom by virtue of section 3 of the European Union (Withdrawal) Act 2018 (including as further amended or modified by the laws of the United Kingdom or a part of the United Kingdom
from time to time)
1. Processor and Controller Relationship
1.1. The Parties agree that, for the purposes of the Data Protection Legislation, the Client shall be the Data Controller and SaleCycle, together with its Group Companies and Affiliates involved in the provision of the Services, shall act as Data Processor and authorised sub-processors as applicable.
1.2. The Parties will at all times comply with the provisions and obligations imposed by Law including but not limited to Data Protection Legislation. This Schedule is in addition to and does not relieve, remove or replace, a Party’s obligations or rights under the Data Protection Legislation; and
1.3. Each of the Parties acknowledges and agrees that the following table sets out an accurate description of the Data Protection Particulars
2. Instructions and Details of Processing
2.1. SaleCycle shall:
2.1.1.process the Protected Data only in accordance with the Client's documented, written instructions unless SaleCycle is required by Law to otherwise process that Protected Data. Where SaleCycle is relying on Law of a member of the European Union or European Union law as the basis for processing Protected Data, SaleCycle shall promptly notify the Client of this before performing the processing required by Law unless such Law prohibits SaleCycle from notifying the Client. For the avoidance of doubt, entering into the Contract with SaleCycle shall constitute instructions from the Client to SaleCycle to process Protected Data for the purposes of delivering the Services;
2.1.2.ensure that all personnel who access to and/or process Protected Data are obliged to keep the Personal Data confidential (except where disclosure is required in accordance with Law, in which case SaleCycle shall, where practicable and not prohibited by Data Protection Legislation, notify the Client of any such requirement before such disclosure);
2.1.3.inform the Client if SaleCycle becomes aware of a Processing instruction that, in SaleCycle’s opinion, infringes Law, provided that (i) this shall be without prejudice to clauses 2.1.1, 2.2 and 3.2 of this Schedule 1 to the maximum extent permitted by Law, SaleCycle shall have no liability
howsoever arising (whether in contract, tort (including negligence) or otherwise) for any losses, costs, expenses or liabilities including any Data Protection Losses arising from or in connection with any Processing in accordance with the Client’s instructions.
2.2. The Client and SaleCycle acknowledge that it is the Client's responsibility to ensure that:
2.2.1.the instructions the Client gives to SaleCycle regarding the Processing of any Protected Data shall be consistent with Law (including but not limited to Data Protection Legislation and E-Privacy Legislation), this shall include (but is not limited to) ensuring that the Client has determined the most appropriate lawful basis for Processing the Protected Data; and
2.2.2.it has all necessary appropriate consents and notices in place to enable lawful transfer of the
Protected Data to SaleCycle for the duration and purposes of the Contract.
2.3. The Client will notify SaleCycle in advance of any planned changes to the Client’s Website (“Website Change”) that will or are likely to disrupt the Services and SaleCycle shall such reasonable time (as determined by SaleCycle in the circumstances) from the date of notification to SaleCycle of the Website Change to consider such Website Change and where possible amend the Services to accommodate such Website Change to allow the continuation of the Services. SaleCycle shall be entitled to charge reasonable development time and costs to accommodate such Website Change.
2.4. Where it is not possible or commercially reasonable for SaleCycle to accommodate the Website Change pursuant to clause 2.3, the Client and SaleCycle agree to discuss the options available including but not limited to (1) the Services being terminated with SaleCycle being entitled to charge a fair and reasonable termination charge which will be no more than the remaining average value of the contract; (2) where possible, the removal of part of the Services to ensure the continuance of Services not affected by the Website Change.
2.5. If in the event that the Client doesn’t notify SaleCycle pursuant to 2.3 and any subsequent Processing impairs the Services provided to the Client by SaleCycle or infringes Law, SaleCycle shall have no liability howsoever arising (whether in contract, tort (including negligence) or otherwise) for any losses, costs, expenses or liabilities including any Data Protection Losses arising from or in connection with any Processing arising from the Website Change.
2.6. The Client acknowledges and agrees that SaleCycle Services can generate and SaleCycle may use, aggregated and wholly anonymised data for their own internal purposes, including but not limited to statistical analysis, reporting and the development of new products.
2.7. The Client agrees that SaleCycle may transfer Protected Data to countries outside the European Economic Area including to the UK provided that all such transfers shall be by way of Appropriate Safeguards and in accordance with Data Protection Legislation.
3. Technical and Organizational Measures
3.1. SaleCycle warrants that, considering the state of technological development and the cost of implementing any measures, it will take appropriate technical and organisational measures against the loss, unauthorised access, unauthorised use, unauthorised modification, or unauthorized destruction of data to ensure a level of security appropriate to:
3.1.1.the harm that might result from such occurrences; and
3.1.2.the nature of the data to be protected.
3.2. The Client warrants, represents and undertakes that it has undertaken due diligence in relation to SaleCycle’s Processing operations, and it is satisfied that:
3.2.1.SaleCycle’s Processing operations are suitable for the purposes for which the Client proposes to use the Services and engage SaleCycle to process the Protected Data; and
3.2.2.SaleCycle has sufficient expertise, reliability and resources to implement technical and
organizational measures that meet the requirements of Data Protection Legislation.
4. Other Processors
4.1. Where SaleCycle uses a specific third-party processor at the request of the Client, SaleCycle shall have no liability for the use of Protected Data by this third-party processor and the Client shall ensure that this third-party processor complies with the Data Protection Legislation and is subject to similar obligations as those of SaleCycle under this Schedule 1.
4.2. SaleCycle shall:
4.2.1. not engage any Sub-Processor to carry out the Processing activities in respect of the Protected Data without the Client’s written authorisation (such authorisation not to be unreasonably withheld, conditioned or delayed) provided that the Client authorises the appointment of any Sub- Processor at the time of entry into the Contract;
4.2.2. appoint any Sub-Processor under a written contract substantially on that party’s standard terms of business dealing with legal compliance and data privacy which shall include the requirements imposed by Data Protection Legislation; and
4.2.3. inform the Client of any intended changes concerning the addition or replacement of Sub-Processors, giving the Client the opportunity to object to such changes. SaleCycle shall reasonably take into account the views of the Client in appointing any such Sub-Processor, but for the avoidance of doubt the appointment of any Sub-Processor shall be at SaleCycle’s absolute discretion and SaleCycle shall have no obligation to act in accordance with any objection raised by the Client.
4.3. An up to date list of sub-processors can be found here
4.4. As between the Client and SaleCycle, SaleCycle shall remain fully liable, in accordance and pursuant to the terms of the Contract, for all acts or omissions of any Sub-Processor appointed by SaleCycle.
5. Data Subject Requests
5.1. Taking into account the nature of the Processing, SaleCycle will assist the Client insofar as is reasonably possible in the fulfilment of the Client’s obligations to respond to Data Subject Requests relating to Protected Data provided that the Client shall pay SaleCycle’s reasonable costs in dealing with such requests.
5.2. SaleCycle shall refer all Data Subject Requests it receives to the Client within three Business Days of receipt of the request.
6. Assistance with Compliance
6.1. SaleCycle shall provide such reasonable assistance as the Client reasonably requires (taking into account the nature of Processing and the information available to SaleCycle) in ensuring compliance with the Client’s obligations under Data Protection Legislation with respect to:
6.1.1.security of Processing;
6.1.2.notification of a Protected Data Breach to a Supervisory Authority;
6.1.3.communication of a Protected Data Breach to a Data Subject; and
6.1.4.carrying out a data protection impact assessment (as such term is defined in Data Protection Legislation).
7. Breach Notification
7.1. In respect of any Protected Data Breach involving Protected Data, SaleCycle will, without undue delay (and in any event within 24 hours):
7.1.1.notify the Client of the Protected Data Breach; and
7.1.2.provide the Client with details of the Protected Data Breach; and
7.1.3.take all reasonable steps to resolve the Protected Data Breach and mitigate the impact of the
Protected Data Breach.
8. Deletion or Return of Protected Data and Copies
SaleCycle shall at the Client’s written request, delete or return all of the Protected Data to the Client after the end of the provision of the Services. The Client may request the return or destruction of any other type of analytical data, and the Parties shall agree such return on a case-by-case basis on commercial terms then to be agreed.
9. Information and Audit
9.1. SaleCycle shall maintain, in accordance with Data Protection Legislation binding on SaleCycle, written records of categories of Processing activities carried out on behalf of the Client.
9.2. SaleCycle shall, in accordance with Data Protection Legislation, on written request from the Client, make available to the Client’s customer such information as is reasonably necessary to demonstrate SaleCycle’s compliance with the obligations of Data Processors under Data Protection Legislation.
9.3. SaleCycle shall, on the written request of the Client and with reasonable notice, allow representatives of the Client to audit SaleCycle (the “Audit Right”) and/or to provide the Client with reasonable information in order to ascertain compliance with this Data Processing Agreement provided that:
9.3.1. the Client shall only be permitted to exercise the Audit Right under this clause 9.3 no more frequently than once per year;
9.3.2.each audit shall be performed at the expense of the Client;
9.3.3.the Client shall not, in its performance of each such audit, unreasonably disrupt the business operations of SaleCycle;
9.3.4.any audit of SaleCycle shall be undertaken during SaleCycle’s normal business hours.
9.3.5.the Client ensures that all information obtained or generated by SaleCycle or the Client or the Client’s representatives in connection with an audit is kept strictly confidential (save for disclosure as required by Law); and
9.3.6. the Client shall pay SaleCycle’s reasonable costs for contributing to the audit if the duration of the audit exceeds one business day.
