When browsing the Website, the User shall refrain from any act of any nature whatsoever that would be contrary to the law, that would harm public order, or that would infringe the rights of SaleCycle or of third parties.
In particular, and without this list being exhaustive, the User undertakes to observe the following rules when browsing the Website:
The User further undertakes not to access or remain within the Website fraudulently, and not to obstruct or interfere with its operation, in particular by introducing viruses, trojan horses, worms, logic bombs or any other program liable to cause damage to the Website and/or to harm SaleCycle's data.
The Website, its content and all the elements comprising it are creations in which SaleCycle holds all intellectual property rights and/or for which it has obtained rights of use, in particular under copyright, design rights, database rights and trade mark law.
The Website, together with the software, database structures, texts, information, analyses, images, photographs, graphics, logos and any other data contained on the Website, remain the exclusive property of SaleCycle or, where applicable, of their respective owners with whom SaleCycle has concluded licence agreements.
They may not under any circumstances be reproduced, used or represented without the express written authorisation of SaleCycle, failing which legal proceedings may follow.
SaleCycle grants the User a non-exclusive and non-transferable right to use the Website and the original works and data contained on it. That right consists of (i) a right to consult online the original works and data contained on the Website and (ii) a right of reproduction consisting of printing and/or saving the works and data consulted. This right of use is granted for strictly private use only. All other rights are expressly reserved by SaleCycle.
In particular, and without limitation, the User shall not, for any purpose other than private use, reproduce and/or represent, download, sell, distribute, transmit, translate, adapt, exploit, circulate or communicate, in whole or in part and in any form whatsoever, whether commercially or otherwise, any original work or data contained on the Website.
The User shall also refrain from introducing data onto the Website that would alter, or would be liable to alter, the content or appearance of the data, presentation or organisation of the Website or of the works appearing on it, by any means whatsoever.
SaleCycle cannot be held liable for any matters other than those relating to its publication of the Website. SaleCycle gives no warranty as to the availability or performance of the Website. SaleCycle's liability may be engaged only for proven fault and for direct and foreseeable damage caused exclusively by a failure by SaleCycle to perform its obligations.
SaleCycle cannot be held liable for any non-functioning, inability to access, or malfunction of the Website attributable to unsuitable equipment, to malfunctions in the services of the User's internet service provider, or to those of the internet network itself. The same applies to any other cause external to SaleCycle.
The User further acknowledges that the characteristics and constraints of the internet network do not allow the availability and correct functioning of the Website to be guaranteed. Consequently, SaleCycle does not warrant that the Website will operate without interruption or error. SaleCycle's liability cannot be engaged in respect of such service interruptions or operating disruptions.
The User declares that they are fully aware of the intrinsic characteristics of the internet and in particular of the fact that (i) the internet is an open network and that, consequently, the information it carries is not protected against risks of misappropriation, intrusion into their system, hacking of the data, programs and files on their system, or contamination by computer viruses, and (ii) it is for the User to take all appropriate measures to protect the data, files or programs stored on their system against contamination by viruses and against attempted intrusion into their system.
SaleCycle cannot in any event be held liable for the content, data, products or other information offered through websites to which hyperlinks are made. In particular, SaleCycle disclaims all liability in respect of websites whose data does not comply with applicable legal and regulatory provisions.
Personal data collected on the Website is processed in accordance with the SaleCycle Privacy Notice, which sets out what data we collect, the purposes for which we process it, how long we keep it, who receives it, and how you may exercise your rights.

These Terms of Use, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the Laws of England. The Parties agree to submit to the exclusive jurisdiction of the courts of England in relation to all matters arising out of or in connection with these Terms of Use.
